What you’ll achieve

We are looking for an experienced ICSI qualified company secretary to join our team and provide support on a wide range of corporate governance matters. Responsibilities will include ensuring compliance with local statutory requirements, preparing board materials for annual and ad-hoc board meetings and overall subsidiary entity management.


You will:

  • Be responsible for statutory compliance and board support for a portfolio of international subsidiary entities with the role overall encompassing:

  • Complex intercompany consolidations– providing corporate secretarial for intra-group mergers and business transfers. Assistance with simplification of complex group structure.

  • Involvement in corporate restructurings and tax initiatives. Monitoring changes in legislation and taking appropriate action and providing advice to the board of directors, accounting team and legal team.

  • Good knowledge of governance best practice, relevant issues, statutory requirements and regulations. Preparation of board and shareholder resolutions/meetings & local filings – ensuring timely filings.

  • Ensuring entity management database is up to date for the entities managed. Assist in the set-up of new entities in the region, as required & setting up board and shareholder meetings. Requires liaison with Corporate legal team colleagues, external auditors, external legal advisers, local and global Accounting and Tax departments.


Essential Requirements

· Experience working in multinational corporations, overseeing entity management for a large portfolio of international subsidiaries

· Proficient in Word, PowerPoint, Excel and Outlook (e-mail), experience with entity management database

Desirable Requirements

  • ICSI qualified at least 5 years’ experience in a similar role post qualifying.
