What you’ll achieve

We are looking for an experienced qualified company secretary to join our international team and provide support on a wide range of EMEA corporate governance matters. Responsibilities will include ensuring compliance with local statutory requirements, preparing board materials for annual and ad-hoc board meetings and overall subsidiary entity management.


You will:

  • Be responsible for statutory compliance and governance support for a diverse portfolio of EMEA subsidiary entities

  • Manage complex intercompany consolidations– providing corporate secretarial support for intra-group mergers, business transfers and dissolutions, as part of the simplification of complex group structure

  • Be Involved in corporate restructurings, liquidity transactions and tax initiatives

  • Monitor changes in legislation and regulation and implementing appropriate action

  • Provide corporate governance advice to stakeholders, such as company officers, accounting team, tax team and commercial legal team, and liaising with external auditors and legal advisors

  • Manage the preparation of board and shareholder resolutions; managing board and shareholder meetings end to end & handling necessary corporate documentation to ensure timely statutory filings

  • Ensuring entity management database is maintained for the entities managed

Essential Requirements

  • Experience overseeing entity management for a large portfolio of EMEA subsidiaries, preferably in a multinational corporation

  • Qualified member of the Chartered Governance Institute with extensive experience in a similar governance role

  • Knowledge of governance best practice, relevant issues, statutory requirements and regulations

  • Experience in board management and minute taking in a business or committee environment

  • Proficient in Word, PowerPoint, Excel and Outlook; experience with entity management databases


Desirable Requirements

  • Experience managing entities in the Middle East and North Africa strongly preferred

  • Efficient and highly organized; Methodical with attention to detail and accuracy.

  • Very comfortable working on your own initiative, but also as a team player, contributing to an international team of corporate governance professionals;
