QUALIFICATIONS:

Minimum education and experience required: Master’s degree in any field of study plus 5 years of experience in the job offered or as Investment Banking Analyst/Associate, Financial Analyst, or related occupation. The employer will alternatively accept a Bachelor’s degree in any field of study plus 7 years of experience in the job offered or as Investment Banking Analyst/Associate, Financial Analyst, or related occupation.

Skills Required: Requires experience with the following: Financial modeling and analyses pertaining to both U.S. and cross-border Mergers & Acquisitions (M&A), including building detailed financial operating models, 3-statement combination and divestiture models, discounted cash flow valuations, present value of future stock prices, precedent transactions, trading comparables, LBO analyses, intrinsic and market-based value creation analysis and accretion and dilution analyses; M&A transactions, including acquisition and sale of both U.S. and non U.S. private and public companies; Divestiture of a division, spin-off, Reverse Morris Trusts, and related corporate restructuring; Financial restructuring transactions, including representing sellers and buyers in section 363 sales processes under the bankruptcy code; Transaction involving PE funds, and both cash and stock consideration; Fairness opinion analyses for clients, including related procedures and drafting proxy disclosures; U.S. or cross-border M&A transactions in an investment bank within several sections; Corporate defense assignments against activist investors; Financial statement analysis, due diligence for buy-side and sell-side M&A transactions, including distressed M&A, negotiating with stakeholders including creditors of distressed businesses and transaction structuring; Microsoft Office, including Excel, Word, and PowerPoint; and FactSet.

Must possess the following licenses: SIE; Series 79; and Series 63.

Full-Time. Salary: $285,000 - $285,000 per year.
