Contract Administration:Evaluate and summarize all pertinent deal terms (i.e. term status, advances, retention rights, royalty rates, etc.) for a segment of Sony Music Publishing’s Canada, Latin and Film/TV agreements in the Contract Administration Department’s database

  • Update deal summaries and tracking reports as agreements are signed, modified or terminated.
  • Recognize unique requirements and variations in agreements for special handling.
  • Maintain the list of new deals and process all incoming agreements on a timely basis.
  • Maintain Deal Expiration Reports and circulate for Creative, Business Affairs, and upper Management review on a quarterly basis.
  • Update various other Contract Administration Department reports with relevant deal information.

Miscellaneous:

  • Track writer’s song deliveries and assist in delivery and release information research.
  • Circulate time-sensitive Option Memos for required upper management approvals.
  • Send all outgoing mail for Contract Administration Department.
  • Provide coverage for the Assistant Manager, Business Affairs & Contract Administration in processing time-sensitive payment requests and in the maintenance of deal summaries and expiration tracking reports for US deals.
  • Research digitally archived documents and agreements as requested.
  • Collaborate on system and process improvement projects.
  • Additional business critical projects and agreement information requests, as assigned.

Who You Are: (

  • Bachelor’s degree preferred.
  • 3-5 years' experience with music publishing legal, copyright and/or contract administration.
  • A highly organized person that pays close attention to details.
  • Adept at prioritizing time-sensitive tasks.
  • Ability to maintain confidentiality in all matters.
  • Proficient computer skills and fluency in Microsoft Suite; ability to learn music publishing company-specific systems.
  • A self-starter with the capacity to work independently, as well as within a team.

Job Purpose:The Associate Director is responsible for transactional, litigation and other departmental matters aimed at enabling the business to achieve its objectives. This role is responsible for negotiating and drafting contracts and other documents, and participating in efforts to protect SMP’s songwriters and intellectual property rights.


What You’ll Do:

  • Draft and negotiate various types of publishing agreements, including co-publishing, purchase agreements, administration agreements,modifications/extensions,etc.

  • Respond promptly to requests from various internal and external clients

  • Partner and collaborate with royalty personnel on responses to audit claims. Negotiate and draft audit settlement agreements

  • Partner with Sony in-house litigation staff and outside counsel on litigation matters: Review claims, coordinate responses to discovery requests, review answers, motion papers, briefs, etc.

  • Partner closely with A&R staff on preparation of proposals

  • Prepare and circulate deal approval memos

  • Advise internal clients on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies and procedures, intellectual property and agreement strategy

  • Support the continuous improvement of standard form agreements and legal processes

  • Perform other relevant duties as assigned

Who You Are:

  • JD required, licensed and in good standing to practice law in California and/or NY

  • Excellent drafting/writing and communication skills

  • Prior experience working for a law firm or corporate experience negotiating and drafting

  • 2+ years’ experience working in the media industry

  • Demonstrated experience working effectively in a diverse environment

What You’ll Do:

Contract Administration:Evaluate and summarize all pertinent deal terms (i.e. term status, advances, retention rights, royalty rates, etc.) for a segment of Sony Music Publishing’s Canada, Latin and Film/TV agreements in the Contract Administration Department’s database

  • Update deal summaries and tracking reports as agreements are signed, modified or terminated.
  • Recognize unique requirements and variations in agreements for special handling.
  • Maintain the list of new deals and process all incoming agreements on a timely basis.
  • Maintain Deal Expiration Reports and circulate for Creative, Business Affairs, and upper Management review on a quarterly basis.
  • Update various other Contract Administration Department reports with relevant deal information.

Miscellaneous:

  • Track writer’s song deliveries and assist in delivery and release information research.
  • Circulate time-sensitive Option Memos for required upper management approvals.
  • Send all outgoing mail for Contract Administration Department.
  • Provide coverage for the Assistant Manager, Business Affairs & Contract Administration in processing time-sensitive payment requests and in the maintenance of deal summaries and expiration tracking reports for US deals.
  • Research digitally archived documents and agreements as requested.
  • Collaborate on system and process improvement projects.
  • Additional business critical projects and agreement information requests, as assigned.

Who You Are: (

skills and experience required
)

  • Bachelor’s degree preferred.
  • 3-5 years' experience with music publishing legal, copyright and/or contract administration.
  • A highly organized person that pays close attention to details.
  • Adept at prioritizing time-sensitive tasks.
  • Ability to maintain confidentiality in all matters.
  • Proficient computer skills and fluency in Microsoft Suite; ability to learn music publishing company-specific systems.
  • A self-starter with the capacity to work independently, as well as within a team.
  • Excellent communication skills (spoken, telephone, written)
  • Some Travel May Be Required.
  • 7.5-hour business workday but variations in work volume may require extended working hours for evening and late-night events.
  • May be asked to work during high volume seasons (i.e. end of calendar year, end of fiscal year, etc)
  • Must be authorized to work in the United States.
