serve as the first point of contact forequity plan andemployee stock purchase plan(ESPP). Provide high-level support for F5’s EVP and General CounselSr.irector, Equity Programs & Corporate Governance,and Manager, Equity.
Primary Responsibilities
Plan Administration
Support Mgr. EquityPlansin global equity plan administration.
intainthe Equity Edge Online (“EEO”) database, including all transactions into the equity database and quality control of all data entry.
Processglobalnew hire set up,terminations and leave of absencesin equity database.
Process andmonitortheMorgan Stanleyaccount generation,activationand W-8BEN certification.
Maintain internal employee relocation tracker and work with HR and tax on equity tax impacts.
Maintain daily administration of employeeoptionexercises.
RSU release transactions; troubleshoot all post-release issues.
ESPP processing; troubleshoot all post-purchase issues.

Serve as primary point of contact for Tier 1 global employee issues/questionsregardingtheir equity compensation andMorgan Stanleyaccount; liaison with broker as needed,including opening and following up on cases.

equity compensation documentation to HRand/or Legalfor employee relations matterssuch as:employee separation, court actions, garnishment, death, disabilityetc.
monthly and annual ISO and ESPP disposition reportingforUS Payroll.
in preparing the annual Section 6039 employee tax mailings,IRS filings, and employee tax communication.
Perform monthly termination reviews between equity database and HRIS system.
with internal and external teamswithfunds going to and fromMorgan StanleyForeign Disbursement accounts.
Manage theMorgan Stanleytax elections for US employees.
Create and postMorgan Stanleyonlinegrant document packages fornewgrantsandtracking acceptancesas needed.
andmaintainequity plan documentation,employee communication,and educational materials(FAQs, instructions, email templates, videos)
Maintain all links and materials on the Equity SharePoint site.
allequity compensationrecords and hard copies as needed.
& Legal
Assist in draftingannualD&O questionnaires.
Administrative updates to the proxy statement.
in annual meeting preparation and day-of coordination.
signatures, notaries and legalizationon documents asrequired; serve as gatekeeper to theExecutiveVP and General Counsel for signaturesrelated to theglobal equity programs.
Serve as back-up for other Legal staff as required from time to time.
Other Responsibilities:
Responsible for upholding F5’s Business Code of Ethics and for promptly reporting violations of the Code or other company policies.
Performs other related duties as assigned.

Bachelor’s degree or equivalent work experience
Knowledge of equity plan software and reporting
ertifiedEquityProfessional (CEP)designation, orin the process of obtainingcertificationpreferred.

Physical demands and work environment
Duties are performed in a normal office environment while sitting at a desk or computer table.Duties require the ability toutilizea computer, communicate over the telephone, and read printed material.
Duties may require being on call periodically and working outside normal working hours (evenings and weekends).
Duties may require the ability to travel via automobile or airplane.
Occasional light lifting of boxes and files may berequiredfor organization of legal files.
