What you’ll do:

  • On a daily basis, independently review, draft, revise, interpret, and negotiate (under the direction of an attorney) agreements between Vimeo and its suppliers and customers, including non-disclosure agreements, consulting agreements, and statements of work.
  • Work with stakeholders and our procurement team to ensure that contracts are negotiated and executed in compliance with our contracting policies.
  • Respond promptly to approval requests from Vimeo’s business teams and escalate issues where appropriate.
  • Educate stakeholders on our policies, procedures, and negotiation playbook, and communicate issues concerning contract risks and agreement structure.
  • Assist in management and maintenance of Vimeo’s standard contract clauses, templates, and processes with the goal of minimizing friction with vendors and mitigating risk for the business.
  • Work with Vimeo’s litigation counsel on subpoena responses.
  • Assist with managing disputes and insurance coverage and claims, including litigation holds and discovery.
  • Manage legal team expense process, vendor invoices, and billing relationships, and assist with legal team budgeting.
  • Identify and implement improvements to current operations and workflows.

Skills and knowledge you should possess:

  • 3 – 5 years of paralegal experience at a law firm or corporate legal department of a SaaS company.
  • Strong written and verbal communication skills.
  • Strong organizational skills, extreme attention to detail, and good judgment.
  • Ability to work in a self-directed manner as well as in a team setting and manage multiple tasks at a time.
  • Ability to work efficiently and effectively in a remote environment.
  • Experience responding to subpoenas and providing litigation support.
  • Experience drafting and negotiating services agreements and non-disclosure agreements in an enterprise environment preferred (but not required).
  • Notary Public certification preferred (but not required).
