General Corporate Issues: Provide legal support on general corporate matters, including corporate governance, mergers and acquisitions, and other regulatory affairs.
Public Company Reporting: including annual and periodic reports with the SEC and proxy filings, ensuring compliance with regulatory requirements and deadlines.
Board and Committee Support: Assist with board agendas and materials and keep records of all meetings and corporate actions.
Employee Equity Compensation: Provide legal support for equity programs, ensuring compliance with securities laws for equity awards and insider trading.
Support for our ESG program: align initiatives with legal standards, assist in drafting ESG reports, and support the development of policies that promote responsible corporate governance and transparency.
Contract Review and Negotiation: Review, draft, and negotiate a variety of vendor agreements.
Qualifications
LLB degree or foreign equivalent, and membership in the Israeli Bar
Mother-tongue level English with excellent written and verbal communication skills
At least 7 years of relevant experience in a leading law firm (preferably in hi-tech, capital markets, commercial or M&A departments) and/or company in-house experience
Experience in a public company is an advantage
