What You’ll Do
  • Corporate Subsidiary Governance & Maintenance: set up, maintain and manage the corporate obligations of all Tesla’s domestic subsidiaries and Tesla’s Secretary of State filings. Work with CT Corp to ensure all domestic subsidiaries are in good standing and comply with all necessary formalities (e.g., board meetings; timely approval and filing of required documentation)
  • Maintain officer and director slates for various corporate entities as directed
  • Prepare written consents, resolutions, certifications, minutes, intercompany funding agreements and powers of attorney, and other corporate documentation as needed for domestic subsidiaries; update and maintain corporate records and databases for all domestic subsidiaries and manage corporate agents
  • Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed
  • Assist with legal aspects of acquisitions and financing projects, including assisting with closing documents, entity transitions, and any other special projects
  • Assist in maintaining domestic corporate structure charts and domestic subsidiary lists, assist in permitting/licensing on various matters, and assist various cross functional teams with ‘Know Your Customer’ forms
  • Work with other members of the legal team as well as other company functional departments on special projects and initiatives
What You’ll Bring
  • 5+ years of relevant In-house and/or top-tier law firm experience working as a Corporate Paralegal
  • Bachelor’s Degree and/or paralegal certification preferred or equivalent experience and evidence of exceptional ability
  • Notary certification (or willingness to obtain) a plus
  • Proficiency in Microsoft Office applications, Adobe Acrobat, legal entity management and related software.
  • Strong organizational and analytical skills as well as excellent written and verbal communication skills
  • Ability to work within a complex and constantly changing, fast-paced, demanding work environment
  • Ability to build and maintain positive working relationships with internal functions around the globe as well as external advisors
