The Role
The Director, Assistant General Counsel is a transactional attorney role that will be responsible for the following:
providing advice and counsel on, and independently managing (including drafting and negotiating), a variety of complex transactions, including mergers and acquisitions
leading transactional legal support for complex due diligence reviews, business line partnerships, portfolio sales and acquisitions, alliances and other strategic arrangements, marketing agreements, complex procurement and outsourcing contracts, and venture capital investments
counseling and advising business groups, including providing advice on complex legal issues
building and maintaining strong relationships with business and legal stakeholders
implementing and monitoring repeatable, controlled processes for transactional work
when necessary, managing and coordinating outside counsel, including management of the delivery of services and cost
Basic Qualifications
Juris Doctor from an accredited law school
Active member in good standing of a least one state bar or similar standing in a foreign jurisdiction which meets the requirements of the applicable state bar to be authorized to practice law for Capital One
At least 6 years of experience in a law firm, government, in-house legal department, or a combination, with a focus on private and public mergers and acquisitions, portfolio and other asset sales and acquisitions, credit card partnerships, or venture capital investments
Preferred Qualifications
2+ years of experience across a range of commercial transactions, including in-house procurement or supply chain management transactions
2+ years of experience providing advice and counsel on transactions to clients in the financial services industry
Experience with Google Workspace
