Job responsibilities

  • Provide transactional support for lending transactions, including analysis and advice on structural and risk issues and review and negotiation of credit and collateral documentation; drafting, review and negotiation of confidentiality agreements, guarantees, collateral assignments of deposit accounts, advised line documents, fee letters, engagement letters, term sheets, and commitment letters; tailoring of standard bank loan documentation forms; indicative term sheets and other proposals; amendments and waivers, etc., and advising deal teams on various credit agreement issues
  • Support and advise the business with respect to treasury management products, and client related issues including regulatory, reputational, operational and other issues which may arise.
  • Escalate issues as appropriate and share potential concerns, issues, and ideas with legal and control functions across the company
  • Prepare and update standard forms and procedures and manage outside counsel relationships
  • Partner with risk, controls, compliance and other colleagues across the firm regarding risks and control issues; provide training to the business

Required qualifications, capabilities, and skills

  • At least 5 years of syndicated lending experience at a law firm and/or in-house legal department at a large bank or other financial services company with demonstrated experience managing increasingly complex matters; including sponsored transactions.
  • The strategic vision to anticipate legal issues for different businesses and business models
  • The ability to prioritize work in a fast-moving environment, manage a large number of issues at one time, and interact with senior and executive management
  • Excellent verbal and written communications skills
  • Licensed to practice law and a member in good standing in TX or IL, as applicable, or otherwise in compliance with the in-house counsel registration rules in such state
