The
Vice President & Assistant General Counsel

We are currently seeking an experienced transactional lawyer with a strong background in general corporate law, corporate governance, and leading large projects and operations to support with corporate and transactional matters. The responsibilities include:

  • Drafting, reviewing, and negotiating a variety of agreements relating to financing transactions.
  • Conducting due diligence reviews and managing deal closing deliverables, as it related to legal entity integration.
  • Drafting various other corporate law transactional documents.
  • Conducting legal research and analyzing laws, regulations, and developments.
  • Advising on corporate governance matters, including drafting and reviewing governance documents, ensuring compliance with corporate policies, and supporting board and committee activities.
  • Leading and managing large projects and operations, ensuring effective coordination and execution of legal and business objectives.
  • Engaging in other special projects, as needed.

This role requires a seasoned professional with a strong background in transactional law, particularly in the areas of corporate governance, and project management. The ideal candidate will have a proven track record of providing high-quality legal support, managing complex legal issues effectively, and leading large-scale projects and operations. The role has the potential to expand into management opportunities.

Qualifications:

  • Law Degree from a premier law school and membership in jurisdictional organization. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment.
  • 10-14 years of corporate law experience in a major law firm and/or financial institution.
  • Management experience
  • Excellent English language skills, both spoken and in writing – required.
  • Excellent organizational skills – required.
  • Self-starter and pro-active – required.
  • Working knowledge of legal search engines, including Westlaw/Lexis Nexis – preferable.
  • All candidates for roles in the Legal Department must successfully complete a conflicts of interest clearance review prior to commencement of employment.
