Essential Responsibilities:
Assist with preparation and organization of board of directors and board committee minutes, materials, and minute books.
Assist with administrative matters related to SEC and public company reporting, including proxy statement and annual meetings of stockholders, Section 16 filings, and director and officer matters.
Assist with preliminary transaction documents and closing formalities, document archiving, and management of standard forms and due diligence requests, in each case, in connection with mergers, acquisitions, and other strategic transactions.
Assist with variety of other governance and treasury-related matters, including policies and procedures, global equity compensation, and diligence.
Assist with document archiving for securities and governance and M&A team records and administrative matters related to team functions, including billing and vendor management matters.
Perform other related duties as required, including liaising with other departments as needed.
Qualifications/Requirements:
Bachelor’s degree, paralegal certificate from an accredited institution, or high school diploma with at least five years of corporate governance, paralegal, or similar legal or executive administrative experience.
Proficient with the Microsoft Office product suite and willingness and ability to learn new corporate governance and other software tools.
Strong organizational and administrative skills.
Notary public or willing to obtain within first six months of employment.
Desired Characteristics:
Experience in support of corporate records, securities transactions and filings, and M&A transactions preferred.
Strong written and verbal communication skills.
Displays commitment to excellence and attention to detail (e.g., spelling, punctuation).
Maintains confidentiality of information, exercises appropriate discretion, and uses information appropriately.
Ability to work effectively and professionally at all levels within the organization, including the board of directors.
Completes work in a timely manner, prioritizes competing demands appropriately, and meets deadlines.
Ability to work independently under general direction, with latitude for initiative and independent judgment.
Works ethically and with integrity aligned with organizational goals and values.
