What you'll be doing
  • This role will advise in connection with a range of matters, including corporate governance, corporate secretary support, strategic transactions, capital markets transactions, executive compensation, stock administration, and public company reporting and compliance, including:
  • Lead Unity’s public company compliance obligations including preparing SEC disclosure documents, including periodic and current reports, and proxy statements.
  • Provide securities law advice and compliance guidance for earnings releases, investor materials,management presentations and other communications
  • Partner with the CFO organization, including Accounting, Finance, Investor Relations, Tax and Internal Audit as well as the CPO organization, including Total and Executive Compensation.
  • Refine processes and procedures to ensure compliance for Unity as a public company.
  • Manage affiliate trading matters, including Section 16 reporting and 10b5-1 plans.
  • Providing legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters; developing meeting agendas, and preparing materials for Board/Committee meetings.
  • Act as Assistant Corporate Secretary for the Company.
  • Advise on corporate governance matters and updating corporate policies.
  • Provide legal support for Unity’s global equity program, including managing securities law requirements, drafting equity plan documents and advising on structuring elements of our equity programs and executive compensation matters.
  • Manage the company’s stock administration function.
  • Advise on legal aspects of corporate activities such as securities offerings, treasury activities and intercompany agreements.
  • Subsidiary management.
  • Oversee management of securities litigation.
  • Advise on structuring and documentation on M&A or investment transactions, as applicable.
  • Manage the corporate securities and equity operations team.
  • Efficiently manage outside counsel on a global basis and within budget.
What we're looking for
  • JD from an accredited law school.
  • 12-15+ years of experience at a top law firm or corporate law department with a national or international presence, specifically in corporate, securities or capital markets experience.
  • Knowledge of public company financial reporting rules and regulations relevant to securities law.
  • Ability to work directly with internal clients of every level of the organization.
  • Excellent judgment, communication (verbal and written), organizational and interpersonal skills and the ability to work collaboratively across multiple groups and functions.
  • Desire to think creatively and strategically to solve problems.
  • Ability to work independently and take initiative to get things done.
  • Practical, business-focused mindset and willingness to dig into issues.
  • Curious, with a sense of humor.

Gross pay salary$300,000—$400,000 USD
