Strategy and Transactions (SaT) - Transaction Diligence - Divestiture Advisory Services (DAS) (Manager) (Multiple Positions), Ernst & Young U.S. LLP, Cincinnati, OH.

Analyze strategic development and execution of an appropriate transaction structure, including the execution of financial due diligence. Understand profit drivers and trends, challenge assumptions of future performance and assist with purchase agreements and post-closing transaction matters. Perform complex data analysis to advise clients in the preparation of carve-out financial statements to be audited, and related SEC filings. Translate complex data into meaningful insights. Constantly research industry trends and technologies, as well as seasonality and cyclicality on cash flow requirements to provide knowledge and insight to clients.

Full time employment, Monday – Friday, 40 hours per week, 8:30 am – 5:30 pm.

MINIMUM REQUIREMENTS:

Must have a Bachelor’s degree in Accounting, Finance, Business, or related field and 5 years of progressive, post-baccalaureate related work experience. Alternatively, will accept a Master’s degree in Accounting, Finance, Business, or related

field, and 3 years of related work experience.

Must have 2 years of conducting external audits, or other financial or tax due diligence experience with a public accounting or professional services firm.

Must have 2 years of mergers and acquisitions experience in a transactional role.

Must have 2 years of experience of conducting financial due diligence engagements regarding divestures, including carve-outs, spins and/or full enterprise sales for private investor groups and/or corporate buyers.

Must have 2 years of experience in business integrations, divestitures, and/or carve-outs.

Must have 2 years of experience advising clients on financial, strategic, and/or operational matters.

Must have 2 years of experience in identifying negotiation factors for purchase price, deal structuring and/or termination.

Must have 2 years of experience supervising teams of professional employees.
