DESCRIPTION:
Duties: Provide legal counsel on matters related to the development, implementation and maintenance of global and domestic technology products and services. Draft, review, interpret and negotiate agreements for the acquisition of global and domestic technology products and services. Provide guidance related to compliance principles, adherence to firm policies, procedures and regulatory requirements to minimize risk to the business in connection with the development of new products and services. Serve as primary contact to local counsel for outsourcing activities and technology related matters in Brazil. Ensure that global policies and requirements are met in all transactions involving the Brazilian entities. Partner with business, third-party oversight, procurement, and technology stakeholders to engage, educate, and help guide industry policy globally related to IP, third-party risk management, and various technologies. Conduct due diligence on technology companies, including with respect to IP, controls, privacy, and technology to support the firm’s investments and acquisitions. Provide support to internal clients and local counsels to ensure compliance with Brazilian cyber, outsourcing and technology-related regulations that may impact contractual terms and increase the risk involved in the engagement.
QUALIFICATIONS:
Minimum education and experience required: Bachelor’s degree in Legal Studies or related field of study plus 7 years of experience in the job offered or as Vice President, Assistant General Counsel, Associate/AVP, Attorney, or related occupation.
Skills Required: Requires experience in the following: conducting legal research; drafting, negotiating and analyzing legal agreements for global technology products and services, including: intellectual property licenses, market data agreements, exchange agreements, software connectivity and platform agreements, software licensing and software support agreements, hardware and maintenance agreements, order management and software as a service (SaaS) agreements; drafting, negotiating and analyzing connectivity, API, and cloud services contracts; drafting, negotiating and analyzing legal agreements related to third party technology collaborations and partnerships; cross-border negotiations for technology service agreements; technology-related outsourcing activities, including: data privacy and protection, data accessibility, cybersecurity, information security, technology controls and data management; global regulatory issues relevant to the use of technology in financial services sector; Brazilian laws and regulations relevant to the use of technology in financial services sector, including: Brazilian civil code, Brazilian Labor laws, data protections laws, cyber regulations, central bank risk management regulation, and open finance regulations; and, working within Brazilian financial market infrastructure (FMI), including: Brazilian Payments Systems and Instant Payment Systems. Must be eligible for admission to NY State Bar or eligible to apply for registration as in-house counsel pursuant to Part 522 of the Rules of the New York State Court of Appeals within 90 days of hire. License not required at time of hire.
Full-Time. Salary: $234,000 - $275,000 per year.
