Job Purpose:The Associate Director is responsible for transactional, litigation and other departmental matters aimed at enabling the business to achieve its objectives. This role is responsible for negotiating and drafting contracts and other documents, and participating in efforts to protect SMP’s songwriters and intellectual property rights.


What You’ll Do:

  • Draft and negotiate various types of publishing agreements, including co-publishing, purchase agreements, administration agreements,modifications/extensions,etc.

  • Respond promptly to requests from various internal and external clients

  • Partner and collaborate with royalty personnel on responses to audit claims. Negotiate and draft audit settlement agreements

  • Partner with Sony in-house litigation staff and outside counsel on litigation matters: Review claims, coordinate responses to discovery requests, review answers, motion papers, briefs, etc.

  • Partner closely with A&R staff on preparation of proposals

  • Prepare and circulate deal approval memos

  • Advise internal clients on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies and procedures, intellectual property and agreement strategy

  • Support the continuous improvement of standard form agreements and legal processes

  • Perform other relevant duties as assigned

Who You Are:

  • JD required, licensed and in good standing to practice law in California and/or NY

  • Excellent drafting/writing and communication skills

  • Prior experience working for a law firm or corporate experience negotiating and drafting

  • 2+ years’ experience working in the media industry

  • Demonstrated experience working effectively in a diverse environment

  • Excellent communication, interpersonal and organizational skills

  • Ability to multi-task and juggle competing priorities

  • Strong organization skills with high attention to detail

  • Ability to be innovative and suggest change/improvements within scope of work

JOB RESPONSIBILITIES

  • Assist in review and analysis of income tax provision reporting for foreign subsidiaries in the Sony Corporation of Americaconsolidatedgroup (including subsidiaries in foreign joint ventures)

  • Prepare, reviewand analyze key international tax compliance issues relating to Federal Forms 5471, 8858, 8865, 1118, 5713, 8990 and 8992. Should have a strong understanding of E&P, Subpart F, GILTI, FTC and Section 861 expense allocation. Prepare and review required elections and disclosures such as check-the-box elections, DCL, GRA etc.

  • Review and supervise preparation of supporting documentation of earnings and profits pool, FTC pool, PTEP and tax basis for all foreign subsidiaries.

  • Research tax issues for planning and compliance purposes and draft memoranda to support and document conclusions and assistin review and analysis of transactions todetermineany tax and reporting impact.

  • Plan and communicate the level of dividends, monitorthe payment of dividends, track andmaintainpreviously tax earnings and profits, compute the impact of foreign exchange gains and losses of remitted and unremitted earnings for US tax accounting and compliance purposes.

  • Assist tax controversy teams with international issues for Federal andstatetax audits.

  • Train, supervise, and guide the team in various compliance procedures, as well as US tax technical analysis. Educate cross-functional colleagues in tax concepts and issues relating to international tax compliance and reporting, to foster strong relationships with business partners and functional area experts of the company.

Your qualifications and experience should include:

  • Certified Public Accountant (CPA) and/orMaster’s degree in taxation, or equivalent experience is desired.

  • A minimum8-10 years of experience, including International Tax Experience inPublicAccounting and/or Private Industry.

  • Must demonstratestrong ability to effectively manage automated processes and implement automatedsolutions.

  • Must demonstrateleadership experience in effectively managing and developing people, developing relationships, working collaboratively with teams and multi-tasking.

Qualifications

Job Purpose:The Associate Director is responsible for transactional, litigation and other departmental matters aimed at enabling the business to achieve its objectives. What You’ll Do:

  • Draft and negotiate various types of publishing agreements, including co-publishing, purchase agreements, administration agreements,modifications/extensions,etc.

  • Respond promptly to requests from various internal and external clients

  • Partner and collaborate with royalty personnel on responses to audit claims. Negotiate and draft audit settlement agreements

  • Partner with Sony in-house litigation staff and outside counsel on litigation matters: Review claims, coordinate responses to discovery requests, review answers, motion papers, briefs, etc.

  • Partner closely with A&R staff on preparation of proposals

  • Prepare and circulate deal approval memos

  • Advise internal clients on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies and procedures, intellectual property and agreement strategy

  • Support the continuous improvement of standard form agreements and legal processes

  • Perform other relevant duties as assigned

Who You Are:

  • JD required, licensed and in good standing to practice law in California and/or NY

  • Excellent drafting/writing and communication skills

  • Prior experience working for a law firm or corporate experience negotiating and drafting

  • 2+ years’ experience working in the media industry

  • Demonstrated experience working effectively in a diverse environment

  • Excellent communication, interpersonal and organizational skills

  • Ability to multi-task and juggle competing priorities

  • Strong organization skills with high attention to detail

  • Ability to be innovative and suggest change/improvements within scope of work
