As a SaT M&A Associate Director you will work with a high-performing, integrated team which focuses on a wide variety of clients and delivers a range of assignments focusing on general corporate finance, mergers and acquisitions and strategic advice. You will have a diverse range of experiences which will give you continuous learning and development opportunities as well as a great sense of achievement.

This growing team focuses on building strong relationships which will ultimately help you and your clients reach their potential. The Corporate Finance team is seeking to recruit Managers, Associate Directors and Directors who will be able to build on their current transaction experience as they work on diverse and demanding engagements. Due to the nature of the services we provide to our clients, the work requires a high level of adaptability, flexibility and innovation.

Your key responsibilities

Role Requirements

  • Support clients with a diverse range of strategic mandates relating to M&A.
  • Build and maintain strong relationships with clients, investors, and other stakeholders.
  • Supervise and mentor junior team members, fostering professional development.
  • Ensure the quality of client deliverables by having a strong attention to detail.
  • Self-awareness to seek feedback on performance and drive own development.
  • Demonstrate strong numerical and financial skills and an understanding of financial statements.
  • Prior experience and strong knowledge of the Corporate Finance landscape.

Your duties and responsibilities

  • Originate, lead and manage M&A transactions end-to-end (including financial analysis, valuation, due diligence, and negotiations) under the supervision of Directors or Partners within SaT M&A Advisory in Ireland and internationally.
  • Working effectively as a team member by sharing responsibility, providing support, maintaining communication and updating senior members on progress.
  • Understanding our client’s requirements, co-developing our approach with the client, and providing value to our clients through insights, factual conclusions and advice.
  • Gathering, verifying and analysing information to formulate views.
  • Day to day progression of assignments to include; planning, preparing and reviewing various forms of deliverables to include information memoranda, reports and presentations.
  • A focus on anticipating and identifying risks that require escalation and subsequently escalating these risks to more senior staff as appropriate.
  • Support and drive deal origination and sector insight initiatives by identifying and analysing business development opportunities.
  • Working closely with colleagues you will ensure that work is properly executed, documented and concluded in compliance with our Quality & Risk Management guidelines.
  • Actively establishing, maintaining and strengthening your internal and external relationships.

Technical skill requirements:

  • Experience of working on and a deep technical knowledge of the Corporate Finance landscape with particular emphasis on M&A Lead Advisory and a track record of working on transactions end-to-end.
  • Ability to communicate effectively with key stakeholders.
  • High level of commercial acumen.
  • Proficient in detailed financial and commercial analysis and the ability to identify potential areas of sensitivity.
  • Ability to identify key issues on assignments and suggest workable solutions.
  • Experience in presenting findings clearly in reports and other deliverables to clients.

There are 4 areas of the programme where support of this candidate is required:

All 4 parts are covered in detail below. The successful candidate will report to the Programme Managers, who works closely with the Partner Lead. They will have direct involvement and responsibilities in regard to each part of the programme, and we will expect them to input ideas and highlight opportunities for improvement from the start.

As you read through the distinct parts of the programme, you will begin to understand that the ability to multi-task is preeminent. There are constant challenges, but the learning experience will be unique.

  1. Programme implementation – Nominee interviews through to final judging
  • Attend nominee interviews and write reports for each company interview you attend, capturing the business model and highlighting an entrepreneur’s story.
  • Supporting in the organisation of nominee interviews, arranging suitable timeslots with entrepreneurs and senior EY personnel, and following up to collect reports from the interviewers and scribes from around the firm.
  • Assimilating, proof reading and uploading Judging Reports for EOY Judges for the shortlisting stage and ahead of the final judging.
  • Targeting & liaising directly with C-suites to get the right nominees into the programme.

2) Event Management

  • Logistical and organisational support for a series of value-add physical and virtual events and initiatives for finalists and alumni such as: CEO Retreat, Ireland Day Retreat, EOY Event Series, Meet the Judges Day, EOY Gala Awards, webinars and other networking/learning EY & EOY events.
  • This individual is always an invaluable part of the team in the lead-up to events, helping prepare brochures, lists, team packs, plus any number of other things that need arranging in the lead up, during and following on from events.

3) Communications – Branding/Media

  • Understanding the strength of brand and working closely with EY’s communications team to help with administrative and logistical aspects of the communications plan (e.g. supporting with photo call logistics and PR briefings etc.).
  • Direct input into the production of marketing materials, including brochures, direct mail, posters and flyers - this can involve writing, proofreading copy, and liaising with designers and printers.
  • Social media – the ideal candidate will be capable with the use of multiple social media platforms.

In joining the EOY programme you will become a member of a small but highly demanding and fast paced team. You will be expected to socially integrate well with various levels, work as a unit, lead for some mini projects (such as collateral design), all while supporting the team on other projects taking place. You will be expected to learn quickly, roll up your sleeves and commit to delivering a high volume of projects to tight deadlines but importantly we want you to have fun doing it!! Skills and Attributes for Success

  • Preparation of key transaction documentation such as information memorandums, management presentations, structuring analysis and various financial models / discussion materials to assist in advisory and debt financing discussions
  • Running transactions on a day-to-day basis, - this involves working closely with funders and other advisors as well as key company management team contacts
  • Strong analytical skills and highly proficient in Excel (modelling capability), PowerPoint etc. with the ability to analyse financial statements, credit metrics and develop integrated models
  • Targeting, marketing, preparation of proposal materials, client coverage and working as part of the team to develop proposals for new business
  • Experience of operating in a team addressing borrowers in the debt markets, whether bank or direct lenders – experience across multiple products/markets is an advantage. This could be in any capacity, such as advisor, lender, arranger
  • Knowledge of debt financing products, including pricing analysis, structuring debt and familiarity with loan documentation, etc,
  • Proven project management skills, managing a wide range of multiple tasks/projects at any one time
  • Consummate communication skills in written and verbal formats
  • Extensive and highly capable project management skills
  • Ability to learn quickly
  • Highly motivated, with a proven ability to work on own initiative within a challenging / dynamic work environment;

Ideally, you’ll also have

  • Professional Accountancy qualification or equivalent, although this is not essential
  • People development experience and can effectively supervise, coach and mentor junior members of the team
  • The ability to build strong internal relationships within Corporate Finance and across other services, and can participate in business development
  • Professional network (potential clients, financial institutions & solicitors) to help originate deal opportunities

Key Responsibilities
  • Prepare and file statutory forms and annual returns with the CRO in compliance with the Companies Act 2014.
  • Maintain statutory registers and records for client companies.
  • Assist with company incorporations, director and shareholder changes, and other corporate filings.
  • Support clients with Register of Beneficial Ownership (RBO) filings and updates.
  • Draft board and shareholder meeting minutes and resolutions.
  • Assisting and supporting the Corporate Law Team in the delivery of cross-service line projects.
  • Coordinate and manage deadlines for annual compliance requirements.
  • Provide guidance to clients on Irish company law and governance obligations.
  • Liaise with internal teams and external stakeholders to ensure timely and accurate delivery of services.

Qualifications and Experience

  • 1–1.5 years’ experience in a company secretarial or corporate compliance role in Ireland.
  • Practical experience with CORE (CRO Online Filing System).
  • Familiarity with Diligent software
  • Familiarity with Companies Act 2014 and statutory obligations.
  • ICSA qualification (or part-qualified) or relevant legal/business degree is an advantage.
  • Experience in a professional services environment is desirable.
