Director & Associate General Counsel

Responsibilities:

  • Lead a team of attorneys and corporate secretaries supporting the regulated UK, Irish and French financial service firms, and lending entities and several other regulated and unregulated EMEA legal entities.
  • Ensure entities conduct activities in accordance with applicable company law, local regulatory requirements in respect of corporate governance and Bank of America governance and subsidiary management policies and procedures relevant for the Company Secretarial team.
  • Working with management and directors, plan and organise general meetings, board meetings and committee meetings including preparing agendas, drafting resolutions, organising clear and appropriate papers, minute taking, answering director/officer and business line enquiries, and ensuring all board decisions are executed.
  • Interface with directors and senior management in region to execute proper governance activities; includes interface with global Bank of America management where necessary.
  • Corporate governance subject matter expertise for EU and UK regulated entities.
  • Organise and contribute to new director appointments and participate in new director identification process for both internal and external director appointees including guiding proposed appointees through regulatory interviews. Arrange ongoing training on director responsibilities.
  • Respond to/request information from risk management, finance, auditors, senior management, group company secretaries and regulators.
  • Oversee the following:
    • Maintenance of the statutory registers and internal corporate governance subsidiary record keeping system
    • Local and outside region filings
    • Operation of signing authorities and delegated authorities
    • Execution of legal documents including POA’s, Certificates of Incumbency, Deeds etc. including notarisation / apostille / legalisation.
    • External company secretarial provider companies
  • Where necessary, work with business lines and staff areas to establish new legal entities or close inactive legal entities in line with legislative requirements and internal Bank of America procedures.
  • Participate in regional legal entity projects, including corporate restructures

Experience and Skills:

  • In-house corporate lawyer with company secretary experience and experience of corporate laws and regulations in the EU, England and across the EMEA region
  • Law degree required with strong post qualification experience
  • Large law firm training and/or in-house Legal department experience; financial institution experience preferred.
  • Ability to manage responsibilities across multiple jurisdictions and time zones and manage a high volume of work and clients in a fast-paced environment.
  • Ability to work well with teams and enterprise corporate secretaries globally.
  • Ability to communicate clearly and persuasively, both verbally and in writing, and to adapt to a variety of audiences.
  • Ability to be successful in a global, matrixed organisation.
  • Proficient in Word, Excel, and PowerPoint
  • Excellent organisational skills with dedication to extraordinary service
  • Highly motivated self-starter with ability to multi-task and complete assignments within time constraints and deadlines

  • EMEA Equities Legal is a team of 31 lawyers with 30 FTE located in London and 1 FTE in Paris

  • Issuance Platforms Legal is a sub-set of this team comprised of 7 lawyers

  • Platforms Legal team is a highly collaborative team with a professional working relationship, as demonstrated by the low turnover rate

  • The team works closely with the Equities, Fixed Income, Credit and Commodities businesses, as their trusted advisors who work in partnership with the line of business in furtherance of achieving its goals

  • Cumulatively the team has a vast amount of experience and are well placed to provide ongoing support and training, with senior members actively identifying development opportunities for more junior team members

  • More broadly, the Global Markets Legal team have an internal mentoring program, connecting senior leaders across the legal department with teammates across all regions. Responsibilities:

  • Providing legal support for the equities, fixed Income and commodities businesses in EMEA, US and LatAm in structuring and documenting securitised derivatives transactions

  • The drafting of legal documentation for structured note, certificate and warrant transactions linked to equities, fixed income, credit and commodities and for reviewing term sheets for these products’ pre-trade

  • Advising and assisting the securitised products business on a day-to-day basis and managing the execution process for all legal and listing documentation required for trades

  • Reviewing internal policies and procedures in the light of regulation affecting structured products and advising on distribution, confidentiality, and similar arrangements

  • Advise and assist the structured notes business on a day-to-day basis

What we are looking for:

  • Candidates need an excellent understanding of rules and requirements for both institutional and retail offerings across the EU and in the EMEA and LatAm regions generally, and knowledge of relevant market practice in this area

  • Manage the execution process for all legal and listing documentation required for issuances

  • The candidate will have previous experience of drafting and negotiating legal documentation for products issued under structured issuance programmes linked to complex underlying’s including equities, fixed income, commodities, and credit

  • Have a broad knowledge of relevant financial law and regulation in so far as it affects securitised products - e.g. MIFID II, Prospectus Regulation, PRIIPs. The candidate should also have a broad understanding of U.S. securities laws and exemptions and their practical application in this area

  • It is essential that candidates have the ability to manage a high volume of transactions within tight deadlines

Provides general legal counsel on employment and benefits related matters in the UK and across EMEA, as well as providing specific advice on contentious and non-contentious HR related queries and actions. Reviews legal contracts and documents. Individuals in this position typically have a minimum of six years of experience post qualification. The role will be part of a 3 person EMEA HR Legal team in London. The role is located in our Bank of America offices in London.

Responsibilities:

The primary responsibility of this role is to provide first class, commercial and risk-appropriate legal advice to HR in EMEA. This lawyer will have day to day interaction with the HR generalists and country HR partners in the different EMEA jurisdictions. The role requires close liaison with other control functions as well as internal and external lawyers. The role will build a strong relationship with HR and LOB clients and must have the ability to identify practical legal solutions and make recommendations. It will involve:

  • Managing and advising on the legal/reputational and regulatory risks arising at all stages of the employment cycle in accordance with the bank's risk framework and culture.
  • Acting as strategic partner to the business, assisting the business to weigh the risk/reward balance whilst acting responsibly;
  • Managing queries from HR and the business, including Compliance, Risk and Audit on a range of issues.
  • Working closely with the EMEA HR legal team, together with other lawyers including regulatory lawyers;
  • Providing regular training to HR on employment law matters, frequently asked questions and HR legal documents;
  • Engaging and managing outside counsel in a cost-efficient manner;
  • Providing general legal support to the business, including the procurement of appropriate regulatory advice;
  • Providing advice in respect of the HR aspects of data privacy issues;
  • Advising on the HR elements of M&A activity, out­sourcing and other transactional projects.

Experience and Skills:

  • In-house employment lawyer with experience of employment laws and regulations in England and across the EMEA region
  • Law degree required
  • Strong post qualification experience
  • Fluent spoken and written English required

Responsibilities:

  • The position provides legal representation and support for the EMEA Futures & OTC Clearing business, as well as covering general clearing-related issues, including:
  • Legal advice to the Futures and OTC clearing business, collateral management, and other support partners on BAU issues as well as clearing projects.
  • Coordinate and support attorneys who cover the Futures & OTC Clearing business in U.S. and APAC.
  • Regulatory advice relating to regulations impacting clearing activities such as EMIR 3.0 and CASS rules.
  • Legal advice in respect of the Bank’s risk to CCPs, covering issues such as clearing member liability, withdrawal rights, and CCP netting opinions.
  • Provide netting advice as well as legal support on accounting and capital issues relating to clearing.
  • Advise the business and the documentation group on negotiating customer agreements for Futures & OTC clearing and negotiate more complex agreements directly with clients.

Experience and Skills:

  • Attorney must be licensed to practice in the appropriate jurisdiction(s).

  • General experience with uncleared interest rate swap or FX is desirable.
