As a Payments Negotiation Attorney in the Payments Legal Team, you will provide transactional and strategic legal support for client contract negotiations in wholesale payments. You will collaborate with us to enhance negotiation practices and implement technological solutions, creating a best-in-class contracts negotiations legal practice. You will have the opportunity to work with a dynamic team that values inclusivity and career growth. Together, we will safeguard the integrity of the firm while helping our clients succeed.

Key responsibilities

  • Draft and negotiate a wide range of documentation for Wholesale Payments.
  • Advise businesses on transaction structures, and legal and regulatory issues.
  • Coordinate with product counsel and other legal teams to maintain agreement templates, negotiation playbooks, and negotiation technology tools.
  • Ensure customer-facing documentation is clear and compliant with applicable laws and regulations.

Required qualifications and skills

  • Illinois licensed attorney with at least five (5) years’ experience with a major law firm, financial institution, or judicial clerkship
  • Proven and effective negotiation skills and ability to communicate with internal and external customers.
  • Understanding of banking laws, including UCC Articles 4 and 4A.
  • Excellent organization and time management skills.

Preferred qualifications, capabilities, and skills

  • Knowledge of wholesale payments products and services.
  • Experience working with merchant service processors/providers.
  • Experience with commercial card products.
  • Understanding of FinTech and third party payment processors and applicable laws and regulations.
  • Familiarity with healthcare payments and HIPAA regulations.

  • Produces architecture and design artifacts for complex applications while being accountable for ensuring design constraints are met by software code development

  • Contributes to software engineering communities of practice and events that explore new and emerging technologies

Required qualifications, capabilities, and skills

  • Formal training or certification on software engineering concepts and 3+ years applied experience
  • Experience in Terraform and Infrastructure as Code principles using Terraform on Public Cloud (AWS preferred)
  • Experience of developing and testing using automation frameworks
  • Proficiency in one or more programming languages (Go, Python, Java)
  • Hands-on practical experience in system design, application development, testing, and operational stability
  • Overall knowledge of the Software Development Life Cycle
  • Solid understanding of agile methodologies such as CI/CD, Application Resiliency, and Security
  • Demonstrated knowledge of software applications and technical processes within a technical discipline (e.g., cloud, artificial intelligence, machine learning, mobile, etc.)

Preferred qualifications, capabilities, and skills

  • AWS and Terraform Certified
  • Proficient in designing and provisioning applications on AWS Services, Terraform and Sentinel
  • Familiarity with modern front-end technologies

  • Provide transactional support, including analysis and advice on structural and risk issues
  • Review, negotiate and draft credit, lease and collateral documentation, amendments, waivers, indicative term sheets, proposal and commitment letters, intercreditor agreements, assignment/purchase agreements and confidentiality agreements
  • Represent JPMCB in relationships with other syndicate lenders and borrowers, including providing advice on workout credits
  • Support and maintain outside counsel relationships and coordinate engagement of outside counsel
  • Escalate issues as appropriate and share potential concerns, issues, and ideas with legal and control functions across the company
  • Support and advise the business with respect to client related issues including KYC, privacy, reputational and AML issues which may arise
  • Advise the business with respect to new products or pricing, marketing, regulatory and related issues impacting financial institutions operating in a multi-state environment and provide training to the business
  • Partner with Risk, Controls, and Compliance colleagues regarding operational and regulatory risk and control issues and the applicability of federal and state law and regulation to the business

Required qualifications, capabilities, and skills

  • JD or educational equivalent required with at least 5 years of post-JD practicing experience at a law firm and/or in-house legal department at a large bank or other financial services company
  • Licensed to practice law and a member in good standing in TX, IL or other approved location, as applicable, or otherwise in compliance with the in-house counsel registration rules in such state
  • Strong interpersonal skills with ability to interact effectively with clients and partner with other members of the Legal Department and the business to find solutions
  • The ability to prioritize work, manage a large number of issues at one time, and interact with senior and executive management
  • Excellent verbal and written communications skills
  • All candidates for roles in the Legal Department must successfully complete a conflicts of interest clearance review prior to commencement of employment

Preferred qualifications, capabilities, and skills

  • Experience collaborating on a broad range of business strategies and issues with senior management and a reputation for providing valued, and independent counsel and judgment
  • Knowledge of the legal and regulatory requirements for Commercial and Investment Banking businesses with a focus on secured lending (including equipment finance)
