Pagaya Corporate Governance Lead / Paralegal United States, New York, New York

Description:

Responsibilities

  • Oversee the annual corporate governance calendar to ensure compliance with SEC, NASDAQ, and other regulatory filing and notice requirements.
  • Manage domestic and international subsidiary compliance with various legal requirements.
  • Prepare and manage minutes, board resolutions, agendas, and materials for board and committee meetings, working closely with the CEO's office on board meeting coordination.
  • Handle Section 16 filings (Forms 3, 4, and 5), director and officer questionnaires, NASDAQ compliance filings, and assist in the preparation of the annual proxy statement and coordination of the Annual Shareholders Meeting.
  • Coordinate with external auditors on quarterly audits and SEC filings.
  • Organize the annual meeting of stockholders, including materials preparation, voting reports, and calendar management.
  • Manage the company's securities trading policy, including the trading window calendar and processing clearance requests.
  • Partner with Corporate Secretary with occasional corporate transactions, including M&A, tax, and financing activities.
  • Handle complaints received through the Ethics and Compliance hotline and assist with investigations.

Requirements

  • Bachelor's degree required; Paralegal certificate or equivalent work experience preferred.
  • Minimum 7 years of experience, with at least 2 years as a corporate paralegal in an in-house legal department of a public company.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook).
  • Exceptional organizational skills and attention to detail, with experience managing filing systems.
  • Strong verbal and written communication skills.
  • Knowledge of '34 Act requirements (e.g., Section 16) and U.S. public company board governance standards preferred.
  • Self-motivated, flexible, and capable of managing multiple projects simultaneously.

Compensation Range for New York Based Hires

$140,000 - $160,000 USD

Responsibilities

  • Responsible for understanding and assessing business and functional operations of partners; identifying issues, opportunities, and collaboration to discover appropriate solutions
  • Evaluate the financial health and creditworthiness of counterparties (partners, servicers, vendors, other counterparties)
  • Ensure effective implementation of third-party risk management programs to identify, measure, monitor, manage and report risks.
  • Assist in identifying and evaluating systematic and idiosyncratic risk areas across operational activities and the development of processes and controls to mitigate such risks.
  • Maintain, develop and prepare documentation for partner risk management using questionnaires and reporting to provide regular status updates on Pagaya’s partner portfolio.
  • Coach the business to design and implement controls and risk mitigation plans
  • Create and review Key Risk Indicators
  • Prepare quarterly summaries of partners’ business results for industry-wide comparison of consumer credit

Requirements

  • Undergraduate degree majoring in Finance, Accounting, Economics, Business, or Engineering with a minimum of 5 years of experience in a consumer finance/lending institution
  • Knowledge of financial statement analysis and credit risk metrics
  • Advanced knowledge of Microsoft Excel and ability to work with various data sources and tools
  • Must have prior experience in Third-Party / Vendor / Counterparty Risk Management
  • Excellent written and verbal communication skills, with an ability to persuasively communicate complex issues
  • Ability to analyze problems and formulate conclusions and recommendations
  • Excellent organizational skills with the ability to multitask in a complex and dynamic environment
  • Excellent leadership skills with ability to build strong relationships and influence stakeholders
  • Knowledge of Fixed Income, and Asset-Backed Securities is a plus
  • Working knowledge of relevant regulations

$160,000 - $185,000 USD
