Our international tax professionals will work on a variety of projects which are focused on helping clients to develop and execute their international tax strategy, including:

• Expansion into new markets

• Pre-transaction reorganisations and post-transaction integration

• M&A deal structuring

Legal structure rationalisation

• Operating model redesign

• Optimisation of capital structure and financing

• Optimisation of intellectual property ownership and reliefs

Your key responsibilities

Manager – Risk Transformation - Third Party Risk Management

As a Manager, you will join the Risk Consulting team to support leading organisations in the public and private sector across TPRM and risk focused engagements. You will help clients improve their resilience across their business, in a wide variety of ways, from conducting current state assessments and advising on strategy and risk buy-down initiatives, to designing and building transformation programmes and specific resilience solutions and long term operational services.

Your key responsibilities

  • Lead a team of Third-Party Risk Management (TPRM) professionals to drive the delivery of TPRM based engagements including the building of TPRM capabilities or the review of client’s current capabilities
  • Support the development, refinement and delivery of TPRM focused solutions, tools, and processes, creating value and minimising risk for clients
  • Join a fast-paced, credentialed team to deliver an increasingly demanded solution and have an opportunity to collaborate across EY to work with a diverse range of clients
  • Help our clients identify, evaluate, and manage third-party risks (such as cyber, privacy, resilience/business continuity, regulatory and compliance, financial, operational, reputational, etc.) across the third-party management life cycle.

Skills and attributes for success

  • 8-10 years’ experience in consulting, either within a consulting firm or demonstrated experience in-house running a TPRM program.

  • Experience with current state assessment/diagnostic, design & build, enhancement and implementation of third-party risk management programs including governance & oversight, third-party inventory, risk approach and models, policies and standards, TPRM processes and technology, automation and reporting
  • Experience in planning, executing and reporting third-party risk assessments (Australian-based and international third parties)
  • Knowledge and experience related to the diverse set of risks associated to third parties such as geopolitical risk, reputational risk, financial risk, regulatory and compliance risk, digital risk, cyber and privacy risk, operational risk, strategic risk and business continuity & resiliency risk
  • An understanding of and/or implementation experience with a variety of TPRM and/or GRC tools and technologies (e.g., Archer, ServiceNow, SAP, ProcessUnity, Prevalent, etc.)
  • Knowledge of principles of ERM and GRC concepts. information security and data privacy, leading security standards (e.g., ISO27001, NIST), certification reports (SOC 1, SOC 2, etc.) and control frameworks (e.g., COSO, ISO, etc.)

Ideally, you’ll also have the skills and attributes below but don’t worry if you don’t tick all the boxes. We’re interested in your aptitude, attitude and willingness to learn.

  • Knowledge and experience complimentary to TPRM such as Enterprise Resilience, GRC, Regulatory and Compliance and/or Risk Management

  • Self-motivated, positive attitude and lots of energy and drive and ability to support, mentor and motivate junior team members and experience in managing a team (onshore and/or offshore) and various projects or processes to completion

Key responsibilities

As an Assistant Director, your day-to-day responsibilities will include:

We have to clearly communicate our findings to our clients, their banks and their investors. The Transaction Analytics team are integrated with and work alongside the core due diligence teams to provide additional deeper insights and challenge value drivers with innovative solutions and advanced digital capabilities.

Companies are collecting more data with a plethora of sources beyond standard financial accounts including everything from geolocation data to social media posts. Our expertise and challenge is to use data analytics at speed in due diligence to identify and understand trends that would otherwise be hidden!

Your key responsibilities

Given the speed of deals, you will be working across multiple projects alongside experienced financial due diligence (FDD) professionals. You will have the opportunity to continue to develop your skills to perform financial due diligence alongside technical training in a range of situations and sectors. When working on projects you will almost always be working as part of a wider cross service line team with the growing opportunity to reach out to other teams in the commercial and strategy divisions

In your role as a Assistant Director you will have responsibility for understanding the key business drivers, co-developing our approach with the client, agreeing value measurements with the client, providing value to the client through insights, factual conclusions and advice. You will project manage teams and work closely with all members as well as forming strong internal links within Transaction Diligence and other departments in EY both in the UK and internationally to form multi-disciplinary teams. You will gather, verify and assess information to formulate views as well as plan, prepare and review deliverables in various forms including written reports, presentations and discussions with the client. In addition, you will:

  • Plan and monitor the progress of the team
  • Share your technical and other knowledge with your team and the department
  • Build on and develop internal and external networks through personal contacts
  • Understand the capabilities of the firm and look for opportunities to sell additional services to our clients
  • Play a role in business plan initiatives (e.g. key accounts, recruitment, client service framework)

Director - Open to flexible working

You will be working with some of the leading international tax Partners who are well known and respected in the market. You’ll also be working with a high performing team who have advised on many large, complex and high profile international tax issues over the past few years.

It is a great time to join the ICTA team who have expanded significantly in recent years and are continuing to grow. With a number of disrupting factors in the market at the moment you’ll be at the forefront of helping our clients to navigate the complex international tax landscape.

Our international tax professionals will work on a variety of projects which are focused on helping clients to develop and execute their international tax strategy, including:

• Expansion into new markets

• Pre-transaction reorganisations and post-transaction integration

• M&A deal structuring

Legal structure rationalisation

• Operating model redesign

• Optimisation of capital structure and financing

• Optimisation of intellectual property ownership and reliefs

• Managing the risk arising from global law change such as BEPS; and

Supporting clients with tax controversy

Your key responsibilities

  • Build and maintain relationships with clients, winning work proactively and contributing to winning new clients and growing existing ones
  • Management of the successful delivery of technically complex and demanding advisory projects, ensuring technical excellence and a practical / commercial focus
  • Overall responsibility for quality of client service
  • Build networks and relationships internally and externally for the team to leverage from, and work with other parts of EY UK and globally to identify and capitalise on opportunities.
  • Build and develop client engagement teams, and develop junior staff through effectively supervising, coaching and mentoring
  • Significant involvement in the management of the team both in terms of strategy and operations and also through managing junior staff development and assignments

Skills and attributes for success

  • Client focus and commercially aware
  • Strong UK tax technical skills and experience, with a particular focus on areas relevant in a cross-border context, such a CFCs, anti-hybrid rules, loan relationships, intellectual property and Pillar 2.
  • Commitment to building strong client relationships with ability to deliver quality outputs to clients
  • Negotiation skills and ability to handle complexity and nuance
  • Business development skills, able to identify and convert opportunities to grow market
  • Strong business acumen with ability to manage engagement financial results
  • Effective time management, and ability to remain calm when under pressure to meet deadlines
  • Excellent communicator in a range of situations
  • Enthusiastic team player with ability to create, develop and sustain high performing teams
  • Change orientated and innovative with flexible approach to ways of working and adoption of new technologies

To qualify for the role, you must have

  • Strong tax technical skills and significant experience of providing tax advice to large MNCs on complex, cross-border issues
  • Any of the following preferred: ATT / ACA / CA / CTA
  • Experience of Managing a team and/or coaching and developing more junior team members
