• Contributing to and / or managing technology or other workstreams as part of integrations or carve-outs
• Assisting in aspects of business origination, including pitches and presentations, and working in project teams comprising other colleagues
• Working in client engagement teams executing Strategy and Transaction services which support key decision makers in developing and executing strategies for transactions
• Working in a fast-paced, exciting environment with strong business acumen to really help add value to our clients

To qualify for the role you must have

• Professional services / consulting experience within Transactions ideally due diligence, carve-out or integrations experience
• Strong written and verbal communication skills and experience of producing and reviewing high calibre reports, papers, presentations and thought leadership
• Experience of IT project delivery where you are responsible for managing discrete workstream and deliverables
• Have a broad range of IT experience in one or more of following areas: applications, infrastructure, IT architecture, IT risk & Cyber and IT financials
• Strong analytical skills, with the ability to link operational analysis to financials, and understand the implications of findings to client strategy
• Flexibility to travel to client locations (as needed)

Ideally, you’ll also have

• Experience in building strong working relationships with senior clients, including influence, advice and support to key decision makers
• Experience of work in financial services sector
• Demonstrated aptitude for quantitative and qualitative analysis
• Experience in supporting sales and business development processes for professional services projects in a large-scale consulting environment
• Excellent problem solving skills
• Strong team participation skills, particularly teams with diverse skills and backgrounds

Assistant Director (Senior Manager) – Transaction Diligence UKFS

The UK Financial Services Transaction Diligence team at EY currently has exciting opportunities. You'll work with a high-performing, integrated team which focuses on a variety of high profile IPOs and transactions. You'll have a diverse range of stretching experiences which will give you continuous learning and development opportunities as well as a great sense of achievement.

You will be working alongside experienced due diligence professionals, where you will continue to develop your skills to perform due diligence in a range of situations and sectors. There is the opportunity for travel, both within the UK and potentially internationally. When working on projects you will almost always be working as part of a wider cross service line team.

Role responsibilities

In your role as an Assistant Director you will have responsibility for understanding the key business drivers, co-developing our approach with the client, agreeing value measurements with the client, providing value to the client through insights, factual conclusions and advice. You will project manage teams and work closely with all members as well as forming strong internal links within Transaction Diligence and other departments in EY both in the UK and internationally to form multi-disciplinary teams. You will gather, verify and assess information to formulate views as well as plan, prepare and review deliverables in various forms including written reports, presentations and discussions with the client. In addition, you will:

• Plan and monitor the progress of the team
• Share your technical and other knowledge with your team and the department
• Build on and develop internal and external networks through personal contacts
• Understand the capabilities of the firm and look for opportunities to sell additional services to our clients
• Play a role in business plan initiatives (e.g. key accounts, recruitment, client service framework)
• Being a true business advisor to the client and establish yourself as a key client contact
• Take responsibility for own learning and development, provide coaching / support to others, and participate in upward feedback

Skills and attributes for success

• Be able to gather, verify and analyse information to formulate views / conclusions
• Demonstrable experience in planning, preparing and reviewing deliverables in various forms including written reports, presentations and discussions with the client
• Offer a support culture to junior members of the team, assisting their development

To qualify for the role you must have

• Business Development experience
• Have an ACA, ACCA or equivalent qualification
• Strong commercial experience or transaction experience (including financial due diligence experience)
• Financial services experience as developed working with / for companies across the Insurance, Banking & Capital Markets and Asset Management sectors
• A passion to provide high quality service to your clients

Ideally you’ll also have;

• Be an excellent communicator, both oral and written
• Have project management skills
• Be an effective time manager, able to keep calm when under pressure to meet deadlines
• Be a team player with the ability to build effective relationships at all levels
• Have counselling skills, though not essential

Your key responsibilities

• Working closely with clients, their bankers and legal advisers, transaction diligence teams and guiding other SPA team members to manage and deliver advice around the price adjustment mechanisms on M&A transactions. This may include analysis of cash, debt and working capital adjustments, preparation of pricing schedules, reviewing, and commenting on the financial aspects of the SPA, assisting the client with their preparation or review of Completion Accounts, and performing Leakage reviews.
• Supporting and contributing to the delivery of Transaction Forensics engagements, per agreed timeline and budget
• Adhering to Quality and Risk Management (QRM) to ensure client work is delivered consistently and in compliance with EY's quality standards
• Providing insightful, deal-relevant points of view and recommendations to the client by leveraging your technical and commercial experience
• Building valued relationships with internal contacts and external clients to develop and expand your own portfolio of projects, focusing on high value opportunities
• Supporting negotiations with clients throughout the transaction, agreeing detailed and compelling outputs

To qualify for the role, you must have

• Fully qualified as a chartered accountant e.g., ACA / ACCA / CA / ICAS / ICAEW or international equivalent
• Experience directing M&A transactions in a managerial capacity
• Expert in financial information analysis, including modelling, testing, documenting financial scenarios and anticipating challenges
• Commercial awareness and the desire to learn and retain industry knowledge
• Project management and people management experience

Ideally, you’ll also have

• An application and solution-based approach to problem solving
• Strong negotiation capabilities, able to analyse strengths/weaknesses of opposing cases, formulate alternative scenarios, and advise on strategic implications
• Ability to simultaneously handle multiple pressing assignments and sensitive and adversarial situations
