Your key responsibilities
You will work on projects that span the entire lifecycle of a transaction, from HR due-diligence, HR carve-out and integration planning, day-1 readiness and HR exit readiness;
You will effectively link business strategy and HR, define recommendations, impact and actionable plans;
As a Senior Manager you will be responsible for project management including commercials and risk, client relationship and thought leadership in your area of expertise;
You will develop excellent client relationships with senior clients and be responsible for a high degree of client satisfaction with the engagement process and work products;
You will lead business development activities including answering to proposal requests, upselling on existing engagements, opening up new relationships and manage / attend pursuit meetings with clients to sell work;
You will lead practice development initiatives, supporting the continued focus on our team as a great place to work;
You would act as a role model and develop junior team members, coupled with the recruitment and training responsibilities.
Skills and attributes for success
At least 7 years of post-graduate experience and a proven track record working on HR transactions projects, ideally on performance of HR Due Diligence / HR separations / HR integrations / corporate restructuring assignments;
Must: A minimum of 4 years of experience in consulting organizations (e.g., Big Four).
Experience with HR Operations, Payroll, Compensation & Benefits or Labor Law;
Proficiency in English. Additional languages a plus, especially German, French and/or Italian;
Strong motivation to join a fast-paced environment;
A curious mind with the ability to structure problems in a systematic and organized fashion;
Strong team player with a client-oriented attitude, willing to proactively drive solutions within highly motivated and diverse team across functions and geographies;
Excellent interpersonal skills and the aptitude to coach junior team members;
Proven track record in successful project management.

When starting at EY-P TCF, you will encounter a wide range of experience during your first years. You will be staffed across sectors and experiencing different domains (type of projects and deliverables like Due Diligence, Valuations, Financial Modeling or M&A Lead Advisory). This sets a broad foundation of knowledge and allows you to become a well-rounded transaction advisor with both technical excellence and deep sector understanding as your career progresses. In order to reinforce our growing TCF team in, with a particular focus on, we are currently looking for a
• Perform Financial Due Diligences relating to the sale or acquisition of companies together with a young and dynamic, multi-cultural project team;
• Help to identify risks and items which should be considered in the purchase price and provide input to the share/asset purchase agreements;
• Apply state-of-the-art analytics tools in your analysis and have the opportunity to drive the application of further digital solutions within TCF;
• Preparation of transaction documents such as information memorandum, teaser, management presentation;
• Prepare potential buyer and target lists and help in the reach-out to interested parties;
• Populate virtual data rooms and support the Q&A process during the due diligence phase;
• Support in the negotiation phase of a transaction as well as in preparation of signing and closing;
• Perform company and corporate valuations using market and comparable transaction multiples and the DCF method;
• Conduct industry and comparable company research, analyze business models and cost of capital with the aim of better understanding a target company;
• Carry out company and asset valuations using various method and according to international standards;
• Prepare detailed reports outlining the due diligence findings, valuation and assumptions thereof;
• Create financial models and prepare data analysis and data visualization of large databases to support the strategic and operative decision-making process of our clients;
• Evaluate intangible assets in the context of the purchase price allocation (PPA) in accordance with IFRS 3. Moreover, you will prepare and review impairment tests in accordance with IAS 36 and complex securities valuations in accordance with IFRS 2;
• Support the EY Audit Teams in the context of impairment test projects and cost of capital computations;
• Gain experiences across different sectors with the opportunity to develop your industry specific profile and to benefit from mobility programs abroad.
• Completed university degree in Business Administration, Accounting, Finance, Economics or in a STEM field;
• A strong interest for transactions and corporate finance, ideally demonstrated through previous work experience or internships (i.e. 1 to 3 years) in the Transaction/Corporate Finance department of a bank, a Private Equity fund, a consulting firm, or a Big4;
• Interest in or experience of working with international clients including working with multiple accounting standards including IFRS, US GAAP and other local standards;
• Good communication and presentation skills in English AND German, both verbally and in writing, are a must. Additional knowledge in either French or Italian is welcomed;
• Knowledge of analytical tools such as Alteryx, PowerBI as well as a high level of Microsoft office skills (Excel and PowerPoint) ;
• Sharp analytical thinking, exceptional problem-solving skills, common sense and a sense of humor;
• Exceptional team player who is able to work with people at all levels in an organization.
• Strong work initiative and the ability to adapt to new challenges and ideas;
• Enthusiasm and intellectual curiosity.
