What we look for

Deine Hauptaufgaben

L'opportunità e le tue responsabilità:

· Attività di consulenza, in supporto alle funzioni manageriali ed in coordinamento di risorse junior, in ambito Reward & Organization:

A. Partecipazione a progetti di aggiornamento e valorizzazione dei pacchetti di Total Reward, con identificazione dei criteri e principi sottostanti i singoli componenti, nonché a progetti di definizione, aggiornamento e valorizzazione di programmi di welfare aziendale (preferibile competenza verticale di dettaglio nella definizione dei relativi costi aziendali);

B. Partecipazione ad attività di definizione, revisione, armonizzazione di policies HR aziendali, con specifico focus su tematiche Compensation and Benefit

C. Partecipazione a progettualità afferenti alle tematiche di Equal Pay Gap e di Fair Pay Strategy , con particolare focus su attività di assesment quantitativo ed organizzativo sottostante

D. Supporto all’analisi ed alla definizione di modelli e processi operativi ed organizzativi e strutture di governance delle funzioni aziendali

E. Supporto alla progettazione ed implementazione di piani di successione e identificazione e valorizzazione dei key talent aziendali

· Attività di consulenza, in supporto alle funzioni manageriali ed in coordinamento di risorse junior, in ambito prevalentemente M&A:

F. In occasione di operazioni societarie straordinarie (buy side e/o sell side), la risorsa sarà coinvolta in attività di analisi e valutazione circa la struttura organizzativa e della forza lavoro delle società coinvolte nell’operazione, Tax&Social Security compliance, politiche retributive (inclusa la definizione del relativo costo del lavoro), anche con l’obiettivo di evidenziare eventuali impatti sulla posizione finanziaria di rilievo ai fini della chiusura del deal.

G. Al contempo, la risorsa sarà coinvolta in attività successive alle predette operazioni (post deal) tra cui processi di armonizzazione delle politiche retributive, HR workstream management (definizione TSA, workforce integration, HR day1 readiness, HR PMO, etc.), total rewards (retention planning, comparazione T&C, etc.)

· Coordinamento risorse:

A. da un punto di vista organizzativo (condivisione dei piani di lavoro e pianificazione delle tempistiche di delivery) e tecnico-operativo (analisi dei dati, analisi normative, realizzazione di output ed affiancamento sui clienti) su progetti aventi come oggetto le attività di transactions .

· Consulenza in progetti di trasformazione e performance improvement a seguito di operazioni straordinarie

· Consulenza su varie tematiche di Executive Remuneration

Le skills che stiamo cercando:

· Laurea in Economia e Management, Giurisprudenza, Scienze Politiche, Scienze Giuridiche, con percorsi di specializzazione in diritto del lavoro, diritto della previdenza sociale e/o con percorsi di specializzazione su governance , HR strategy, Reward strategy, DE&I.

· Una breve esperienza, preferibilmente presso società di consulenza strutturate o, in alternativa, presso studi di consulenza del lavoro o società di amministrazione del personale sarà considerata un plus;o in alternativa almeno 3 anni di esperienza, preferibilmente presso società di consulenza strutturate

· Buona conoscenza del pacchetto office (in particolare excel) e ottima conoscenza della lingua inglese completano il profilo

• Help to identify risks and items which should be considered in the purchase price and provide input to the share/asset purchase agreements;
• Apply state-of-the-art analytics tools in your analysis and have the opportunity to drive the application of further digital solutions within TCF;
• Preparation of transaction documents such as information memorandum, teaser, management presentation;
• Prepare potential buyer and target lists and help in the reach-out to interested parties;
• Populate virtual data rooms and support the Q&A process during the due diligence phase;
• Support in the negotiation phase of a transaction as well as in preparation of signing and closing;
• Perform company and corporate valuations using market and comparable transaction multiples and the DCF method;
• Conduct industry and comparable company research, analyze business models and cost of capital with the aim of better understanding a target company;
• Carry out company and asset valuations using various method and according to international standards;
• Prepare detailed reports outlining the due diligence findings, valuation and assumptions thereof;
• Create financial models and prepare data analysis and data visualization of large databases to support the strategic and operative decision-making process of our clients;
• Evaluate intangible assets in the context of the purchase price allocation (PPA) in accordance with IFRS 3. Moreover, you will prepare and review impairment tests in accordance with IAS 36 and complex securities valuations in accordance with IFRS 2;
• Support the EY Audit Teams in the context of impairment test projects and cost of capital computations;
• Gain experiences across different sectors with the opportunity to develop your industry specific profile and to benefit from mobility programs abroad.


• Completed university degree in Business Administration, Accounting, Finance, Economics or in a STEM field;
• A strong interest for transactions and corporate finance, ideally demonstrated through previous work experience or internships (i.e. 1 to 3 years) in the Transaction/Corporate Finance department of a bank, a Private Equity fund, a consulting firm, or a Big4;
• Interest in or experience of working with international clients including working with multiple accounting standards including IFRS, US GAAP and other local standards;
• Good communication and presentation skills in English AND German, both verbally and in writing, are a must. Additional knowledge in either French or Italian is welcomed;
• Knowledge of analytical tools such as Alteryx, PowerBI as well as a high level of Microsoft office skills (Excel and PowerPoint) ;
