The Governance & Securities Team partners with cross-functional stakeholders to navigate and address complex issues surrounding corporate governance, corporate securities, and external reporting. As the Manager, you will provide extensive support on all projects within Netflix relating to corporate governance, capital markets transactions, and Securities & Exchange Commission (“SEC”) and Environmental, Social and Governance (“ESG”) reporting.
Responsibilities
  • Support various corporate governance and securities matters, including SEC and NASDAQ compliance, and capital markets transactions
  • Manage the preparation and maintenance of corporate governance documents and materials related to the Netflix, Inc. Board of Directors and Committees, including charters, agendas, materials minutes and resolutions
  • Assist with the preparation of regulatory filings, including proxy statements, registration statements, Forms 10-K, 10-Q, and 8-K, and manage Section 16 filings
  • Prepare and distribute the Director and Officer Questionnaires and related proxy items, as well as plan and coordinate the annual stockholder meeting
  • Research and analyze regulatory developments and facilitate various ESG initiatives and disclosures
  • Help develop, implement, and continually improve policies, processes, and procedures for the Governance & Securities team
  • Collaborate with other members of the legal team and cross-functional partners on special projects and initiatives
Qualifications
  • 5+ years of corporate paralegal or equivalent relevant experience, with a focus on corporate governance and SEC reporting for a public company
  • Exemplary track record demonstrating a collaborative approach, effective communication and excellent legal/business judgment
  • Exceptional organizational skills with keen attention to detail
  • Strong analytical capabilities and judgment; strategic thinker with strong problem solving skills and the ability to manage conflicting priorities efficiently
  • Ability to work proactively, independently and reliably under tight timeframes in a fast-paced environment, while prioritizing responsibilities and meeting deadlines
  • Willingness to tackle matters outside area of expertise
Preferred
  • Experience with domestic and international subsidiary management
Our compensation structure consists solely of an annual salary; we do not have bonuses. You choose each year how much of your compensation you want in salary versus stock options. To determine your personal top-of-market compensation, we rely on market indicators and consider your specific job family, background, skills, and experience to determine your compensation in the market range. The range for this role is $130,000 - $380,000.
