As the Sr. Manager, Global Stock Plan Administration, you will serve as a functional expert for internal stakeholders (People Solutions (HR)/Compensation, Financial Reporting, Legal, Payroll, and Tax) on stock-based compensation matters and partner with these teams to identify, analyze and implement solutions in support of the company's equity compensation objectives. It's essential that the candidate possesses excellent communication and collaborative skills. Essential Duties and Responsibilities
- Manage the administration of company's stock incentive and employee stock purchase plans
- Manage complete cycle and reconciliations for global equity activity including account creation and updates, grants, award releases, bi-annual ESPP purchases/enrollment, etc.
- Ensure compliance with required U.S. federal, U.S. state and international reporting and regulations; monitor international regulatory and tax compliance. Prepare timely and accurate reporting and filings on the prescribed due dates
- Partner with People Solutions (HR) and Compensation, Legal, Financial Reporting, Tax, HRIS, Global Mobility and Payroll to ensure accurate and compliant operations, reporting, processes and integrity of our stock incentive and employee stock purchase plans
- Prepare and provide 1099-MISC reports for non-employee’s compensation income
- Coordinate with external technology, consulting, transfer agent, and broker vendors
- Provide equity award services and support to global plan participants through various means of outreach and education
- Track and update holdings for compliance with the company’s executive and director stock ownership guidelines
- Utilize previously acquired experience to become actively involved in day-to-day processes and procedures that meet audit standards in order to develop and maintain a plan for process improvements, including product and system enhancements and automation, vendor selection and management
- Manage reporting of stock-based compensation for financial reporting purposes, including, timely information to Finance stakeholders; account and outstanding share reconciliations; interact with internal and external auditors in support of monthly and quarterly review and audits
- Ensure compliance with Sarbanes-Oxley controls and initiatives
- Provide timely and accurate reporting and review to support Annual Report and Proxy Statement (i.e., tables relating to equity compensation)
- Ensure compliance with Section 16 reporting obligations including preparation and filing of SEC Forms 3, 4 and 5 via EDGAR
- Manage China SAFE filing and compliance process, including preparation of quarterly China SAFE filings reconcile China SAFE bank account, and application reviews
- Manage processes, filings and mailings in compliance with IRC § 6039
- Manage year-end statement mailings to participants
- Track and monitor share issuances under S-8 Registration statements
- Assist with any equity processing relating to M&A and spinoff transactions
- Manage processes related to and compliance of insider trading program and policies
- Assist insiders with 10b5-1 planning
- Provide support for ad-hoc reporting and analytics for stock-based compensation
- Keep current with regulatory, legal and other developments (e.g., SEC, FASB, IRS and non-U.S. tax rules and regulations) affecting the treatment of equity compensation
