What you’ll do
Key tasks, which may be required as part of the role, include:
- Establishing and maintaining a strong governance framework for legal entities assigned to you.
- Organising meetings, liaising with chairs, presenters and attendees, preparation of agendas.
- Circulating Board materials as and when required within the timeframe allocated.
- Attending Board Meetings and working closely with the Chair to ensure the meeting runs smoothly.
- Preparing draft minutes and following up with the business in respect of action items to be completed.
- Independently responding to email queries and proactively engaging with the business.
- Maintenaning the Power of Attorney process.
- Participating in annual and ad hoc projects and activities, as required.
- Completing other General company secretarial duties as assigned.
- Keeping abreast of relevant industry developments and regulatory changes.
What we’ll need from you
- Previous Board Governance and/or Company Secretarial experience preferred, either in a professional services firm or an in-house company secretarial team. However, applicants with demonstrable transferrable skills in governance type roles will be considered.
- Experience in financial services particularly with Luxembourg Structured Funds or Depositary companies in either in-house or experience working with financial services clients, would be an advantage.
- Excellent verbal and written communication skills; minute taking experience would be a definite advantage
- Attention to detail and excellent organizational skills
- Work well as part of a multi-jurisdictional team and ability to travel if required
- Holding chartered status or studying towards graduate status from the Corporate Governance Institute (formerly Institute of Chartered Secretaries and Administrators - ICSA) would be an advantage.
