In this role, you will:

  • Advise on executive compensation matters at a public company
  • Monitor developments in, and guide, Executive Compensation practices and policies for the Company
  • Proactively identify policy, legal, and regulatory matters pertaining to area of expertise, and evaluate the legal risk and impact
  • Independently resolve moderately complex issues and lead team to meet deliverables
  • Exercise considerable discretion and serve as the primary legal contact for assigned clients
  • Collaborate within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of Wells Fargo.
  • Lead initiatives of varying scope and complexity
  • Manage outside counsel and other service providers, as needed
  • Serve as executive compensation SME on mergers, acquisitions and divestitures
  • Own annual updates to long-term incentive compensation award agreements (including international compliance matters)
  • Be on-point for executive compensation participant communications (including plan prospectuses)
  • Assist in share-counting and related Securities filings with respect to compensation plans that utilize WFC stock
  • Be on-point for Wells Fargo’s Stock Purchase Plan and Deferred Compensation Plan
  • Be on-point for legacy deferred compensation plan matters, including efforts to consolidate such plans, and related rabbi trust matters
  • Be on-point for beneficiary inquiries and hardship distribution requests
  • Support Wells Fargo Advisors’ plans from a 409A perspective
  • Support 10-Q and 10-K exhibit list updates
  • Support Bonus Plan from 409A and governance perspectives


Required Qualifications:

  • 4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar membership or the equivalent in a country outside the United States

Desired Qualifications:

  • Experience with legal issues specific to executive compensation matters
  • Experience providing executive compensation counsel on mergers, acquisitions and divestitures
  • Experience managing annual updates to long-term incentive compensation award agreements (including international compliance matters)

  • Experience handling beneficiary inquiries and hardship distribution requests
  • Background with 10-Q and 10-K exhibit list updates
  • Experience as a practicing attorney
  • Strong attention to detail and accuracy
  • Superior organizational and analytical skills
  • Excellent verbal, written, and interpersonal communication skills
  • Ability to work effectively in a complex environment with a high degree of collaboration

Job Expectations:

  • Position will require onsite presence from any of the required locations listed below in a hybrid work schedule
  • This position is not eligible for Visa sponsorship
  • Relocation assistance is not available for this position

Pay Range

$120,400.00 - $262,600.00
