- the Legal Department’s role in the preparation of the Company’s ’34 Act filings and proxy statements for annual and special meetings of shareholders.
- Support in connection with corporate governance, executive compensation, capital markets, and the Board of Directors.
- Partnering effectively with multiple functions including Finance, Treasury, Investor Relations, Accounting, Tax, Legal, Executive Compensation, and senior business leaders.
- Working with the VP, Legal in preparation of Board of Directors/Committee materials.
- Serve as a trusted advisor to senior executives and the Flex Board of Directors.
- Work with the Senior Corporate Paralegal on corporate formation and ongoing management of international subsidiaries.
- Support the continuous improvement of policies and procedures.
- Special projects as requested.
Here's what we're looking to add to our team:
- Must be an attorney qualified to practice law in at least one U.S. state.
- Must have excellent academic credentials including a law degree from a reputable law school.
- Minimum of 7 years’ experience practicing as an attorney with a top-law firm or public company legal department or a combination thereof. Experience with technology companies preferred.
- High level of expertise drafting public company proxy statements for annual and special meetings of shareholders, including compensation tables and compensation discussion & analysis.
- High level of expertise reviewing and assisting in the preparation of public company ’34 Act filings, including annual reports on Form 10-K, quarterly reports on Form 10-Q, current reports on Form 8-K and Section 16 filings.
- High level of expertise advising on executive compensation arrangements, including equity plans and 10b5-1 trading plans
- High level of expertise advising on Investor Relations and Corporate Communications matters, including earnings releases, press releases, and management presentations to investors and securities professionals.
- High level of expertise on governance-related matters, including stock exchange requirements and interactions with proxy advisory firms.
- Experience working on treasury matters including letters of credit, parent guaranties, and intercompany loans a plus.
- Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic, and highly team-oriented.
- Strong communication and presentation skills, both written and spoken with the ability to interact with people at all levels in a complex matrix organization.
- Able to work efficiently with cross-functional teams and manage numerous projects simultaneously under deadline pressure.
- Flexibility and a willingness to work on a broad variety of contractual and related matters.
- Sense of humor, a commitment to professionalism, and exceptional judgement.
- Periodic travel may be required.
