About the role:

  • Primary role
  • Secondary role– Helping manage and maintain a strategic venture capital portfolio of active companies, assist with diligence and pre-closing regulatory matters associated with large acquisitions, reviewing and analysis of complex acquisition and financing structures, and providing general corporate legal support for Business Development’s everyday needs.

M&A

  • Advise on large and small-scale M&A and divestiture projects, including day-to-day work with outside counsel to draft and negotiate principal deal agreements.
  • Work with Business Development team to draft, review and negotiate term sheets and deal-related documents.
  • Direct and work with outside counsel on transaction process from start to finish, including coordination of corporate legal diligence on M&A and VC targets.
  • Advise on matters related to deal strategy and regulatory filings.
  • Lead internal legal deal team and coordinate across functions for various inputs needed to announce, close and integrate an acquisition.

Venture Capital

  • Work with venture capital team to draft, review and negotiate term sheets from a legal and business perspective.
  • Review and advise on portfolio company actions, including review of follow on investment documents and requests for board or shareholder consents.
  • Direct outside counsel on drafting and negotiation of investment documents.
  • Review and monitor limited partner investments in venture capital funds.
  • Advise the venture capital team on legal impact of subsequent financings, recapitalizations, debt transactions or exits by portfolio companies.
  • Work with the finance and accounting teams on reporting impacts of venture capital investment terms and transactions.
  • Coordinate with treasury and contract management teams to timely close investments.


General

  • Analyzing, drafting, reviewing and negotiating corporate agreements and complex contracts in support of the Corporate Legal Group more broadly, as appropriate.
  • Work with Business Development and Corporate Legal Team to identify ways we can improve on process and template agreements.

Required Qualifications:

  • Juris Doctorate
  • Four to seven years of M&A, venture capital and general corporate at a top law firm and/or at a public company.
  • Process oriented, able to multi-task, team player and ability to work independently with limited oversight.
  • Confidence in navigating long form merger agreements, stock and asset purchase agreements and NVCA venture capital agreements.


Preferred Qualifications:

  • Excellent attention to detail, legal research and writing, communication and project management skills.
  • Self-motivated and dedication to completing deliverables in a timely and effective manner.
  • Process oriented, able to multi-task, team player and ability to work independently with limited oversight.
  • Good judgment, keen diplomacy and strong interpersonal skills. Collaboration across multiple legal and non-legal teams is key to success.
