  • Global Tax Provision
    • Ensure compliance with all public company SEC filing requirements related to tax matters, including the preparation of tax-related disclosures in quarterly and annual reports (e.g., Form 10-Q, Form 10-K).
    • Responsible for the timely and accurate annual/quarterly computation of the consolidated (domestic and foreign jurisdictions) tax provision and related financial statement disclosures in compliance with ASC 740.
    • Adequate comfort level with Corptax provision software.
    • Work with the CAO to evaluate current "top-down" tax model process to improve accuracy and efficiency while maintaining a SOX compliant internal control environment.
    • Work with Vice President of FP&A to ensure data requirements are met to enable timely and accurate reporting of quarterly and annual tax provisions.
    • Responsible for related FIN 48 and APB 23 documentation and disclosures and tax aspects of FAS 123R.
  • Global Tax Compliance
    • Ensure compliance with OECD "Pillar 2" Global minimum tax rules
    • Ensure that the U.S federal, U.S. state, and foreign annual income tax returns are filed timely and accurately. This requires working with foreign finance Vice Presidents to ensure adequate communication.
    • Coordinate internal preparation and external review of US federal and state tax returns with internal compliance team.
    • Adequate comfort level with CorpTax compliance software.
    • Coordinate studies to support calculations of annual R&D Credit and Section 199 deduction using internal and external resources.
    • Resolve audit and other issues with IRS, state, and international tax authorities.
  • Worldwide Tax Planning
    • Advise the Board, CEO, CFO and CAO as to optimal legal and operational structures.
    • Maximize tax efficiencies related to repatriation of cash from foreign subsidiaries and transfer pricing.
    • Ensure intercompany debt arrangements with foreign subsidiaries are properly structured and documented including compliance with new section 385 regulations.
    • Act as a key member of acquisition due diligence teams to optimize deal structures, preserve deferred tax assets (such as unused NOL's), and identify unrecognized tax liabilities that could affect valuation.
  • Management and Communication
    • Develop and maintain relationships with executives in order to understand the business and translate business initiatives into the tax arena.
    • Manage comfortably and effectively in a highly dynamic and changing global business and tax environment.
    • Directly manage a staff in multiple locations including Redwood City, CA, Cary, NC. and Bangalore India.
    • Manage relationship with the independent auditors' tax team and including ability to discuss issues with technical expertise.
    • Explain technical tax issues in "plain English" with the executive management team.
What We'd Like to See
  • 15+ years of experience with large multinational corporations including experience in the Big 4 environment at a Partner, Principal or Director level title.
  • 5+ Experience working at an enterprise software company
  • Prior experience as the head of the tax department for a U.S. publicly traded company.
  • Prior experience presenting to Board and C – Suite.

  • Master's degree or LLM in taxation
