Oversee corporate governance matters, including preparation and review of board and committee materials, and development of governance programs
Manage domestic and international subsidiary governance, including formation, registration, compliance, and ongoing management
Collaborate with Finance, Investor Relations, and other stakeholders on disclosure and regulatory issues
Provide strategic support on corporate transactions and other legal initiatives as they arise
Advise on securities law compliance and lead preparation of periodic SEC and stock exchange filings (including 10-K, 10-Q, 8-K, proxy statements, Section 16 reports, and other 1934 Act filings)
QUALIFICATIONS
JD degree and active bar membership in at least one U.S. jurisdiction
4-7+ years of relevant experience at a top law firm and/or in-house legal department, with a focus on public company representation and securities compliance
Deep familiarity with SEC regulations, exchange listing standards, and public company governance practices
Exceptional judgment and communication skills, with the ability to provide clear, practical legal advice across all levels of the organization
Comfortable operating in a high-growth, fast-paced environment and adept at navigating ambiguity
