  • Support commercial and functional initiativesin both the human and animal health divisions of the company such as:
    • Providing legal advice to the business and functional teams on the different commercial transactions and business initiatives, for e.g. patient access programs, marketing programs, market research activities
    • Draft and review the contracts governing the different commercial transactions and business initiatives
    • Updating the contract templates and assist in the relevant third-partydue diligence
    • Provide internal legal review as part of the company's medical-legal process for promotional materials according to local laws and policies and standards
  • Assist the privacy steward with data privacy matters such as:
    • Drafting and/or updating consent forms, privacy policies
    • Advising on the privacy compliance in alignment with the Korean and internal requirements
    • conducting annual due diligence and review of any data privacy issues
  • Support the clinical studies such as:
    • Review of clinical study contracts in collaboration with the relevant stakeholders at local, regional and global level
    • Review of documents in relation to clinical studies including consent forms for participants and recruiting posters and brochures
    • Other day-to-day matters in relation to implementing the clinical studies
  • Assist HR team with day-to-day labor matters in alignment with the company policies and local regulations
Corporate Governance
  • Draft and review of minutes of BOD and shareholder meeting and update Articles of Incorporation as necessary
  • Liaise with the external counsel and the global legal administrative team for execution and legalization of corporate secretarial and other related documents.
Providing Support onDisputes/Litigation
  • Provide ground support to ongoing or new litigation and/or disputes matters arising from business operations in Human Health and Animal Health business as designated and supervised by the Director, Legal & Compliance, and interact with regional legal team and other legal colleagues from headquarters or other divisions as appropriate
  • Provide advice on AE cases to the relevant internal stakeholders and liaise with the external counsel handling the matters
Providing compliance support to assist in the implementation of in-country compliance initiatives, controls and measures
  • Review and/or approve Denied Party Screening Process and FCPA Due Diligence per internal processes
  • Assist the Director, Legal &Compliancewith internal investigations, where necessary, in collaboration with Global Security, Global Investigations and Office of Ethics, and coordinate with Corporate Audit, local management and Finance/HR groups in taking practical and appropriate remediation actions as needed
  • Review and advise on compliance matters, including but not limited to HCP/ HCO sponsorships, HCP engagements, grants and donations, patient programs, consumer activation initiatives, social media initiatives and other business initiatives, in accordance with local laws, regulations, corporate policies and standards and industry codes and guidelines
  • Support local Business Practices Team by:
    • Assisting with activities across the company in Korea that require a broader perspective in progressing compliance objectives and goals of Korea are met
    • Collaborating with and providing support in aligning business practices with local laws, corporate policies and procedures, and industry codes and guidelines
  • Performing other compliance-related tasks and activities as designated and directed by the Director, Legal & Compliance

Qualifications, Knowledge & Experience
  • Korea licensed lawyer (Member of Korea Bar Association).
  • Minimum 3-5 years of experience, preferably in the healthcare industry, either as an in-house counsel or an external counsel at reputable law firms specializing in healthcare.
  • Experience in dealing with the US FCPA, Pharmaceutical Affairs Act, Medical Service Act, Monopoly Regulation and Fair-Trade Act, Improper Solicitation and Graft Act, the Fair Competition Code of KRPIA, Personal Information Protection Act, guidelines on promotion material and advertisements by MFDS, KRPIA and KPBMA would be advantageous.
  • English fluency.
