Essential Responsibilities:

  • Establish overall business or technical strategy, aligning legal initiatives with corporate goals and objectives.
  • Influence decision-making at the executive level, providing strategic legal advice on key business decisions and transactions.
  • Provide strategic legal advice and support, particularly in high-demand areas such as mergers and acquisitions, intellectual property, and regulatory compliance.
  • Ensure compliance with relevant laws and regulations, overseeing the implementation of advanced legal technologies and compliance programs.
  • Manage legal risks and safeguard PayPal's legal interests, developing and executing risk management strategies.
  • Represent PayPal in litigation and other legal proceedings, managing high-profile cases and collaborating with senior leadership.

Minimum Qualifications:

  • Minimum of 15 years of relevant work experience and a Juris doctorate or equivalent degree

Job Responsibilities:

  • working on a broad range of U.S.securities law matters,includingreview and preparation ofSECfilings(including Forms 10-K, 10-Q, and 8-K, registration statements, proxy statements and annual reports),annual stockholders meetingsandrelated matters (e.g., D&O questionnaires, no-action letters)

  • with insider trading compliance and reporting, includingSection 16 filings and 10b5-1 plan administration

  • Provide legal support oncorporate governance matters, includingreview andpreparationof materialsfor PayPalHoldings, Inc.board and committee meetings,and reviewing andmaintainingcorporategovernance documents,policiesand guidelines

  • Provide legal support onpublicdisclosures (e.g.,earnings releases, investor relationspresentations)and stockholder engagement

  • ,trackand advise on potential impactsof new and proposedlegal and regulatory requirements with respect to securities andcorporate governancemattersandrelatedtrendsandbest practices(includingbenchmarkingof peer practices)

  • oversight ofand legal guidance onsubsidiary management mattersglobally, includingentitymaintenance,formation of new entities,restructuringsand

  • Provide legal support forFinance/treasury activities, including capital market transactions, credit facilities, parent company guarantees, and stock buyback programs

  • includingleveragingstate-of-the-arttechnologies,project management andprocess documentation

  • Investor Relations, Finance, Treasury,regional Corporate Secretaries, Global Entity Management, Compliance,Communications,Corporate Sustainability & Impact,Tax and Human Resources functions) on various other applicable projects

Job Requirements:

  • JD degree with excellent academic credentials

  • +years ofexpertiseinsecuritieslaw(’33 and ’34 Act),SEC reporting mattersandcorporate governancewith at least5years at a top-tier law firmor equivalent in-house experience

  • Strong experience inU.S.and internationalsubsidiary management

  • experience intreasury matters, includingcapital marketstransactions,banking relationships,parent guarantees,andstock

  • Strong working knowledge ofproductivity,collaboration,workflow and project management toolsincludingTeams, SharePoint,Word,PowerPoint,Excel,Workiva/Wdesk,andSmart

  • Flexibility and creativity in dealing with complex legal issu

  • Excellent interpersonal, written,and oral communications skills

  • Well organized and hard-working, with the ability tothrive in a fast-paced work environment andmanagenumerousprojects simultaneously under deadline pressure

The US national annual pay range for this role is $188,000 to $323,950
