Your Role and Responsibilities

About this role:

  • This role is primarily based in Jakarta, Indonesia.
  • The successful candidate will be responsible for attending various legal matters, including contract drafting, commercial negotiation, including assisting relevant business lines in resolving queries or conflicts involving interpretation of contracts entered into by, and laws/rulings/regulations applicable to, the company and developing/updating contract templates for customary third-party engagementsas well as development/adoption of various contracting and other legalpolicies/process to comply with laws or IBM requirements.
  • The candidate will also be providing legal advice and support to IBM general businesses(as well asany IBM affiliates)in Indonesia, which includes handling or adoption of processes as may be required from time to time. The candidate will also be expected to provide support for compliance and ethics matters, as well as regulatory, corporate secretarial, and employment-related functions.
  • As the successful candidate develops his/her role, he/she may be expected to perform other roles within the country or other regional roles.
  • The candidate will perform a customer-facing role, and will also be expected to interact with the business partners and suppliers of the company.
  • The candidate is expected to perform other legal services and support as the Country Counsel of Indonesia directs/instructs.

Roles & Responsibilities:

  • Preparing, reviewing, negotiating and advising on all aspects of contracts and their terms. This includes assisting relevant business lines with contract drafting, preparation and responses to proposals, mark-up of contracts and RFP/RFIs, commercial negotiations, and contract administration.
  • Providing advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to IBM.
  • Providing support to the supply chain/procurement function and IBM global functions (as needed).
  • Working with various business lines and functions, including IBM’s Finance, Human Resources, Trust and Compliance, Government Regulatory Affairs, and other regulatory and risk management teams, to provide solutions consistent with IBM’s corporate policies.
  • Ensuring documentation is maintained, and that organizational memory is retained, within the corporate business group.
  • Providing advice and education on contracts and compliance issues (including local laws, business integrity, ethics, FCPA, and GDPR).
  • Handing claims by and against the company, and assisting with the preparation for litigation or arbitration proceedings, including the coordination of efforts by corporate staff and outside counsel.
  • Develops ongoing and future strategies to avoid potentially damaging legal situations regarding product development, marketing strategies, etc. which often involves working closely with internal management teams and IBM counsels representing other countries to ensure appropriate implementation.
  • Providing legal support to varioustype ofcorporate actions (e.g.corporate restructuring,M&A,as well as its associated activities).


Required Technical and Professional Expertise

  • Absolute commitment to business integrity and ethical conduct.
  • A degree in law and legal qualification in Indonesia.
  • Minimum 10-12 years’ legal experience in Indonesia, preferably solid in-house counsel experience with a multi-national corporation (experience working in a highly matrixed multi-national/global corporation will be advantageous) or a combination of experience as private practice attorney and as an in-house counsel.
  • Demonstrated ability to influence contract structure and business decision making for the benefit or advantage of IBM.
  • Demonstrated success in negotiating large and complex deals in complex situations.
  • Ability to handle multiple deals/matters concurrently.
  • Proficiency in written and spoken English.
  • Experience in international contracting matters.
  • Excellent drafting and negotiations skills.
  • Ability to give advice with an eye as to the commercials of a matter.
  • Able to work in an agile, dynamic and fast paced environment, and to meet critical deadlines.
  • Strong analytical, communication, project-management, and organizational skills
  • Independent and self-motivated.

Preferred Technical and Professional Experience

  • Previous exposure to IT-related industry is an advantage.
  • Able to communicate well and work in a cross-functional team to achieve common goals.
  • Able to work well both independently and as part of a team.
  • Able to identify and escalate issues timely and appropriately.
