As a Paralegal - Capital Markets / Legal Entity Management here at Honeywell, you will play a crucial role in supporting our legal team in the areas of capital markets and legal entity structure and management. You will assist in drafting and reviewing legal documents, conducting legal research, and providing general administrative support to the legal team. Your attention to detail and strong organizational skills will be instrumental in ensuring the smooth operation of our legal department. You will report directly to our General Counsel and you'll work out of our Charlotte, NC location on a hybrid work schedule. In this role, you will impact the efficiency and effectiveness of our legal operations, contributing to the success of our capital markets and legal entity structure initiatives.
KEY RESPONSIBILITIES
- Assist in drafting and reviewing legal documents, including contracts, agreements, and corporate filings
- Conduct legal research and provide summaries and analysis of relevant laws and regulations
- Maintain and organize legal files and documents
- Provide general administrative support to the legal team, including scheduling meetings, managing calendars, and coordinating travel arrangements
- Provide support on a variety of corporate governance and securities law related matters.
- Prepare and file with the SEC Section 16 stock ownership forms for directors and officers including onboarding with initial Form 3 filings and subsequent Form 4s.
- Support to SEC attorney with proxy statement project and entire process around the annual meeting of shareowners.
- Provide support for corporate treasury activities, including due diligence for bond offerings and support for credit agreements.
- Provide US legal support for tax and LES projects
YOU MUST HAVE
- Paralegal certification or equivalent experience
- 4+ years of experience as a paralegal, preferably in the areas of capital markets or legal entity structure
- Strong attention to detail and organizational skills
