About this role:

This Senior Counsel position will provide legal advice and counsel to Wells Fargo’s lines of business and the lines of defense, including with respect to among other areas, the following: Federal Reserve Regulations K, O, W and Y; OCC regulations on, investment securities, activities permissible for a national bank, lending limits; National Bank Act preemption; as well as new and proposed regulations issued by the bank regulatory agencies. The candidate will also support Wells Fargo’s participation in various banking industry trade associations and assist in the development of comment letters and other advocacy on proposed legislation and regulations. The successful candidate will have experience or proficiency in one or more of the following areas:

In this role, you will:

  • Research, analyze and advise on prudential banking laws and regulations (as well as related supervisory guidance) related to national bank and bank holding company activities, organizational structure as well as safety and soundness standards (such as affiliate transactions, lending limits and similar requirements)
  • Assist in the preparation and filing of notices/applications to U.S. bank regulators
  • Analyze changes in legislation and regulations in these areas, and provide integrated legal advice and counsel on the implications of these changes on the company’s operations and activities
  • Advise on bank regulatory policy and advocacy positions and support the drafting of related materials, including legislation and Congressional correspondence
  • Communicate legal requirements to various levels of the organization
  • Represent the company and its positions in various financial services trade association forums
  • Advise front-line units, control, compliance and risk management partners in the above areas and support them in the development of related policies, procedures and controls
  • Work with cross-functional disciplines within the Company in the implementation of prudential banking regulations and requirements, including related policies, procedures and controls
  • Provide guidance on legal and regulatory matters impacting business strategy and policy or claims against the Company
  • Proactively identify policy, legal and regulatory matters pertaining to area of expertise, and evaluate the legal risk and impact
  • Independently resolve moderately complex issues and development of deliverables
  • Exercise discretion and risk judgement and may serve as the primary legal contact for assigned clients
  • Collaborate within the Legal Department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of Wells Fargo
  • Lead initiatives of varying scope and complexity

Required Qualifications:

  • 4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar membership


Desired Qualifications:

  • 2+ years of practicing attorney experience with a major law firm, bank regulatory agency (Federal Reserve, OCC or FDIC),or in-house law department
  • 2+ years of practicing attorney experience in U.S.prudential banking law and regulation
  • Experience researching, analyzing and advising on Federal Reserve Regulations K, O, W and Y (including analyzing bank holding company/financial holding company permissible activities and analyzing legal entity structure aspects, such as control); OCC regulations investment securities (Part 1), activities permissible for a national bank (Parts 5 and 7) and lending limits (Part 32); as well as new and proposed regulations issued by the bank regulatory agencies
  • Experience researching and analyzing legal and regulatory issues in area of practice and provide effective counsel to clients on complex legal matters
  • Strong analytical and problem-solving skills, with ability to communicate complex issues clearly and persuasively, in both written and oral format, and to synthesize complex issues for various audiences
  • Ability to develop and maintain effective relationships within and across corporate functions and business groups at all levels of organization
  • Ability to understand and integrate details of business / enterprise environment and priorities in applying legal and policy requirements
  • Effective organizational, multi-tasking and prioritization skills, including ability to manage multiple projects concurrently
  • Ability to work independently during times of ambiguity and change
  • Experience with a hybrid work environment with the ability to effectively drive results, provide feedback/direction, and build relationships with leaders and team members in a geographically dispersed team environment
  • Ability to influence, partner, and negotiate with stakeholders to gain commitment to accomplish business goals
  • Ability to work and influence successfully within a matrix environment and build effective business partnerships with all levels of team members
  • Experience working with changing priorities and deadlines
  • Strong attention to detail and accuracy
  • Excellent verbal, written, and interpersonal communication skills
  • Ability to work effectively in a complex environment with a high degree of collaboration

Job Expectations:

  • Position will require onsite presence from any of the required locations listed below
  • This position is not eligible for Visa sponsorship

Pay Range

$120,400.00 - $287,600.00
