Your responsibilities include:
- Drafting and negotiating a wide range of commercial documents including master service agreements, statements of work, SaaS/Cloud agreements, software license agreements, supply agreements and information security agreements
- Work with subject matter experts and stakeholders to ensure compliance with relevant laws and regulations including the General Data Protection Regulation and the National Defense Authorization Act
- Help drive process and consistency across contracting streams
- Counseling and advising internal clients on legal issues
- Representing and supporting internal clients in contract negotiations with external parties
- Partnering with internal business clients to ensure agreements are consistent with corporate policies and processes, as well as the desired business arrangement
- Develop and provide training to internal clients and stakeholders on company policies/processes, best practices and relevant laws and regulations
- Liaise with outside counsel as warranted
Required Qualifications:
- Juris Doctor; active good standing in one state bar in the US
- 5+ years combined experience in a law firm or in-house legal department, with experience drafting and negotiating complex commercial agreements
- Deep understanding of contract law and legal concepts, including their practical application in a business environment
- Ability to summarize and communicate legal concepts in clear and concise manner with a broad audience, at all levels of the organization (including members of the Executive Committee)
- Ability to manage and prioritize a high-volume workload in a fast-paced working environment
Preferred Qualifications:
- Preferred Location: Marlborough, MA; Additional Option: Arden Hills, MN
- In-house legal experience supporting an IT or broad-based contracting group
- Experience with IT agreements
