Ethics and Compliance Counsel (E&C)

The role also includes building a strong compliance culture through training, employee communication, leadership engagement, and counseling. The E&C Counsel is responsible for the review and approval of high-risk transactions, including but not limited to Sponsorships, Entertainment, Gifts, Meals and Donations, Conflicts of Interest, and Third Party Due diligence.

To embed compliance into the fabric of organizations, the role requires influencing skills to build partnerships with different stakeholders, create alliances when gaps are identified, and obtain dedication and support from various leaders.

Primary Responsibilities

  • Substantive Counseling: Advising clients in the business as well as functional groups on anti-corruption and Code of Conduct issues, provide creative and practical solutions in alignment with 3M´s Code of Conduct, policies and laws.
  • Third Party Selection, Screening & Engagement: Client counselling, review and approval of third-party due diligence and mitigation plans, compliance clauses’ drafting, transaction and approval, training and communication with third parties, such as distributors and vendors.
  • Business Conduct Committees (BCC): Act as Steward of Business Conduct Committees and ensure leadership engagement. In addition, participate in leadership forums for the geographies of responsibility.
  • Building Strong Compliance Culture: Advising on training needs and developing appropriate content, following and supporting execution, providing training (live or virtual) to target audience. Promotion of a Speak Up Culture and measurement through Ethics and Compliance metrics.
  • Involvement in Global/Area Compliance Initiatives: Planning/Executing risk assessments, participation in compliance evaluations of 3M operations, supporting global compliance communication strategy, participating in compliance network meetings, global/regional special projects, participate proactively and regularly in shaping strategic, tactical and operational plans to enhance and promote compliance programs and tools in the region/area, etc.
  • Compliance Investigations: Provide post-investigation support on employee disposition and business remediation.

Skills and Requirements

The candidate must be a legal resident in Brazil, has a valid and active license to practice law in Brazil, qualified lawyer with more than 5 years of experience, at least 2 years with substantive experience with Ethics & Compliance programs in a multinational environment and experience with managing and leading direct reports.

Advanced to fluent in English and Spanish (speak, listen, write) and native in Portuguese. Additional languages are a bonus.

In order to be successful, the Compliance Counsel must be flexible and aware of cultural differences. Have strong listening capabilities and display strong empathy with the organizations. In his or her communication, the Compliance Counsel needs to be clear, engaging, and concise.
