Your responsibilities
- Drafting, reviewing, negotiation, finalization and advisory on client/vendor/partner agreements, Tenders/RFP’s, teaming agreements, MSAs, framework agreements, software license agreements, SaaS subscription agreement, Hosted software agreements, Orders, SOW’s, proposals, services contracts, subcontracts and other ancillary documentation.
- Communicating progress, challenges, risks and benefits to appropriate management levels and affected user groups and other members of the GCO in the affected jurisdictions.
- Understanding practice and business goals and how they impact the types of products and services procured.
- Identify, track and manage key risks in close collaboration with internal stakeholders.
- Act as a point of contact for EY’s business/procurement teams and support the legal team.
- Have a thorough understanding of general key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework).
- Work cross-functionally with internal teams to develop risk matrix and policies, engagement strategies, and operational measures and implementing tactics.
- Assist with creating, facilitating, and delivering guidance and training to team members and stakeholders.
- Collaborating with internal specialist functions including Independence, onshore legal teams, Security, Privacy and Risk Management.
- Advise on commercial risks and legal risks surrounding technology implementation services, managed services, and software agreements.
- Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.
- Managing team’s workflow and propose process improvements, automations and efficiencies.
- Guiding and handholding junior team members in their day-to-day transactions

- Hands-on Technology experiences - preferable if the candidates had at least some experience negotiating with the “big box” vendors (IBM, MSFT, SAP, etc);
Experience and qualifications
- Law Graduate/ LL.B, with 8-12 years of post-qualification experience in drafting, reviewing and negotiating technology contracts and other complex contracts with an appreciation of general legal and risk management issues.
- Experience in dealing with IT contracts - S.I programs, managed services, niche projects / agile approach, IT advisory, Program/software development projects.
- Knowledge of data protection, privacy and security terms
- Experience of senior management and stakeholder management.
- Experience in managing team members (Including work assignments, allocations and quality).
- Confidence in delivering subject matter content to peers and seniors (to facilitate training either in person or online).
- Understanding of compliance related concepts such as Independence, Conflicts.
- Experiences in drafting and negotiating IP, liability, indemnity, data privacy, security and other terms for new-age technologies such as GenAI, Blockchain etc.
