Your Role and Responsibilities- The successful candidate is primarily for contract drafting, commercial negotiation, including assisting relevant business lines in resolving queries or conflicts involving interpretation of contracts entered into by, and laws/rulings/regulations applicable to, the company and developing/updating contract templates for customary third-party engagements.
The candidate will also be expected to provide legal advice and support to the IBM businesses in Singapore primarily andacrossthe ASEAN region, including support for compliance and ethics matters as well as regulatory and employment-related functions.
- The successful candidate will perform a customer and vendor facing role.
- This role is primarily based in Singapore. However, the candidate may be required to travel, especially within the ASEAN region, as required to provide operational, transactional and contract negotiation support.

Roles & Responsibilities:
- Preparing, reviewing, negotiating and advising on all aspects of contracts and its terms. This includes assisting relevant business lines with contract drafting, preparation and responses to proposals, mark-up of contracts and RFP/RFIs, commercial negotiations, and contract administration.
- Providing advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to IBM.
- Providing support to the supply chain/procurement function and IBM global functions as needed.
- Working with various business lines and functions, including IBM’s finance, human resources, regulatory and risk management teams, to provide solutions consistent with the IBM’s corporate policies.
- Ensuring documentation is maintained, and that organizational memory is retained, within the corporate business group.
- Providing education on contracts and compliance issues (including local laws, business integrity, ethics, FCPA, and applicable data protection laws).
- Handing claims by and against the company, and assist with the preparation for litigation or arbitration proceedings, including the coordination with outside counsel. Develops ongoing and future strategies to avoid potentially damaging legal situations regarding product development, marketing strategies, etc. which often involves working closely with internal management teams and IBM counsels representing other countries to ensure appropriate implementation.
Required Technical and Professional Expertise
- Absolute commitment to business integrity and ethical conduct.
- A legal qualification in Singapore, or in any of the ASEAN countries, with at least 10 years’ legal experience, preferably solid in-house counsel experience with a multi-national information technology corporation or a combination of experience as private practice attorney in the information technology space and as an in-house counsel.
- Demonstrated ability to influence contract structure and business decision making for the benefit or advantage of their employer/client.
- Demonstrated success in negotiating large and complex deals in complex situations.
- Ability to handle multiple deals/matters concurrently.
- Proficiency in written and spoken English.
- Excellent drafting and negotiations skills.
- Ability to give advice with an eye as to the commercials of a matter.
