Description

The role:

  • Assist with structuring and executing M&A transactions, including conducting due diligence, drafting and reviewing transaction documents, and supporting post-closing activities.
  • Draft and maintain corporate governance documents, including board and shareholders resolutions, consents, meeting minutes, and related materials.
  • Handle all ESOP related matters, including drafting and reviewing plan documents, managing grants and exercises, ensuring compliance with applicable laws and regulations, and providing guidance to HR and management on ESOP administration and employee communications.
  • Manage all aspects of intercompany agreements, including drafting and reviewing agreements between group entities, ensuring alignment with corporate structure and business objectives, and maintaining proper documentation and compliance with applicable requirements.
  • Support corporate secretarial tasks for global subsidiaries, including coordination with local counsels.
  • Ensure compliance with corporate policies, procedures, and relevant laws and regulations.
  • Collaborate with cross-functional teams, including finance, HR, compliance and operations, on a range of legal matters.
  • Provide general legal support on various commercial and contractual matters as needed, including NDAs, service provider agreements, vendor agreements, and ensure that all commercial agreements adequately protect the company’s interests.
Requirements
  • 2-3 years (excluding internship) of relevant legal experience as a lawyer in the commercial/high-tech department of a top-tier law firm or an in-house lawyer in a legal department of a high-tech company.
  • Hands-on experience with M&A transactions, corporate governance, and corporate secretarial work.
  • Experience working for or with global companies is a must.
  • Ability to manage several simultaneous projects under deadline pressure.
  • Excellent legal, business judgment and strategic thinking, team-player with outstanding attention to detail and organizational skills.
  • Exceptionally strong communication and interpersonal skills across all channels.
  • Efficient and creative problem-solver, comfortable with ambiguity, complexity, and nuance.
  • Able to take ownership of fast-paced projects with rapidly shifting priorities, managing them through to completion with patience, flexibility, and poise.
  • Ability to speak and write English fluently (part of the interview will be conducted in English).
