The Associate Director, Contract Management & Legal Affairs, is responsible for managing Incyte’s contracting process and ensuring that this process is not only consistent with Incyte’s legal and record-keeping obligations and the Contract Management Policy, but also meets the needs of the various client groups. Additionally, the Associate Director coordinates closely with the System Owner of Incyte’s Legal Contracts Management System (a Salesforce-based system called ICE360).

Essential Functions of the Job (Key responsibilities)

  • Template Governance and Maintenance of all Templates and Clause Library (Global remit)
    • Establish, govern and maintain globalized, refined, well defined, easy to use Legal contracting templates
    • Establish, socialize, gain alignment and document Standardization and Risk Tolerance, in collaboration with Lawyers and other relevant stakeholders, as it relates to contractual provisions
    • Establish, socialize, gain alignment and document fallback language and options with guidance/drafting notes
    • Build and Maintain Clause Library based on risks, standards, and fallbacks developed
    • Templates, fallbacks and clause library will be used in conjunction with Contract Lifecycle Management (CLM) application
  • Governance for 3rd Party Risk Accountability & Engagement Pre-contract and Contracting Playbook(s)
    • Assist with development of and, ongoing management and governance of Pre-contracting and Contracting processes and playbook.
    • Ability to and comfortable with facilitating and organize meetings among stakeholders, at an agreed cadence (Governance Committee/Stakeholders).
    • Assist in the development, maintenance and implementation of training related to CLM processes and system along with IT and other relevant stakeholders.
  • Assist in building, and providing guidance to, a contract resource Center of Excellence among:
    • Legal
    • Global Strategic Sourcing
    • 3rd Party Engagement Specialists (within Business areas)
    • Other relevant stakeholders on cross functional teams
  • Records retention compliance, governance and management in relation to CLM
    • Work with Legal and Privacy to help refine, develop, document, govern, maintain and implement records retention schedule, it relation to CLM
  • Subject Matter Expert for CLM
  • Relationship building with IT, Legal, Privacy, Compliance and Business teams as it relates to CLM system and processes
  • Ability to perform Testing in CLM, as may be required
  • Helps w/communication management in relation to system changes or updates
  • Day-to-day overall Database Administration
  • Ability to assist w/maintenance and updates to Templates within CLM system
  • Knowledgeable or has an understanding of SOX requirements, controls and processes
  • Knowledgeable on Conga (Salesforce platform) and DocuSign.
  • Ability and willingness to learn new technologies (future CLM)
  • Works closely with and reports to Director Contract Management & Legal Affairs

In addition to the above, as needed, responsible for management of projects that help drive efficiency and improve Legal department processes as they relate to Global Contract related technologies, as developed by management. Drives multiple projects from initiation to delivery ensuring completion on schedule and within budget constraints. May work with internal and external clients. Ensures that goals are accomplished and in line with objectives and against timelines. Helps to perform project management activities, monitor activities of IT ensuring quality, and integrity of the information, and providing consistency in content and "look and feel". Helps to coordinate activities with cross-functional team(s), where applicable, and helps define recommendations for feasibility in relation to systems. Identifies enhancements to overall processes to improve efficiency and output quality in relation to processes and systems. Keeps management informed of deviations from plans and schedules and collaborates with cross-functional teams to find the best solutions, assesses impact of decisions and proposes resolutions or alternatives ensuring management has all facts and relevant information in order to make final decisions. Comfortable making decisions, as appropriate and knows when to escalate. Willingness to grow and take on additional responsibilities as it relates to Legal technologies or systems.

Qualifications (Minimal acceptable level of education, work experience, and competency)

  • Bachelor’s degree or applicable relevant experience (typically requires a minimum of 8-10+ years’ experience)
  • Legal background, J.D. or Paralegal Certification preferred
  • Pharmaceutical experience preferred
