What you’ll be doing:
- Build and scale the corporate legal function
- Manage our equity program, with the assistance of our Equity Plan Manager (who will report into you)
- Drive public company readiness and other compliance efforts, including the development and maintenance of policies, procedures, and training initiatives
- Provide legal support for corporate transactions, including securities offerings, financings, investments, acquisitions and divestitures and other strategic transactions, and provide oversight on executive compensation administration
- Help prepare the company’s SEC filings and other public disclosure documents, including preparing 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documents, when required
- Assist with the preparation and planning for board and committee meetings and the annual meeting of stockholders
- Oversee global corporate administration efforts, including compliance with international, federal, and state laws, maintaining foreign and domestic entities, and executive compensation and stock administration
- Collaborate cross-functionally with other members of the team and other functions including Finance, HR, and staff across other departments
What you’ll need:
- J.D. degree from an A.B.A. accredited law school; and admitted and member in good standing of a state bar, preferably New York or California
- 5+ years of experience as a corporate and securities counsel with significant public company experience. Not required, but a bonus if you have experience working in-house and taking a company public, or issuer-side IPO experience at a law firm
- General corporate transactional experience with a strong background in securities laws; comfortable negotiating and managing corporate transactions (debt and equity financing, secondaries, M&As, JVs)
- Ability to prepare, launch, and manage a public company reporting function
- Experience working at a high growth technology company, in particular at a B2B software or SaaS company
- High ethical standards and strong communication skills
- Willingness to work cross-functionally and on projects that are new and/or unfamiliar
- Ability to work on multiple issues simultaneously and set appropriate priorities while delivering results efficiently

Hybrid work:
Salary Range: $205,000- $240,000 annually + bonus + equity + benefits
