Participate in the formulation, and set overall strategy and lead on the execution and implementation in B&I Legal, of global standards established through the CoSec Initiative
Support the production of guidance documentation fostering a common approach of Citi’s corporate governance within B&I
Acts as a strategic partner and key corporate governance/company secretary advisor to executive stakeholders in respect of B&I’s principal legal entities
Support the Country Counsel teams’ implementation of Citi global policies and practices in respect of corporate governance on a consistent basis;
Develop and share “best practices” in respect of the corporate governance of non-U.S. legal entities
Ensure that the practices that are adopted in the B&I countries in respect of corporate governance comport with industry standards and take into account the feedback Citi receives from its principal regulators
Advise on how best to interact with Board Chair, Directors (including non-Citi Directors), and the CEOs of our principal non-US legal entities from a Co-Sec perspective;
Harmonise the provision of Company Secretary support to non-U.S. legal entities globally.
With respect to the company secretary teams supporting CEP, Citigroup Global Markets Europe (CGME), and Citi Bank Handlowy, hold responsibility, on a direct reporting, matrix reporting, or supervisory basis, for staffing, coordination of resources, performance, compensation management, career development and personnel-related matters, asapplicable
Exercise influence over Company Secretary teams across all B&I Clusters in respect of best practices in respect of company secretary and corporate governance support and the implementation of the CoSec Initiative
Act as a key partner to Head of Business Strategy & Initiatives for B&I Legal, the B&I Cluster Counsel, and the General Counsel of CEP and of all of the other principal legal entities in B&I
Demonstrate sound judgment, discretion and care when working with confidentialinformation
Appropriately assess risk when decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency.
Qualifications:
The role requires a Corporate Governance qualified industry practitioner with 20+ years of experience, with experience of international global governance and regulatory trends and an in-depth understanding and fluency of the full spectrum of universal banking activity, and at least 10 years of managerial experience
Exhibits confidence and agility in challengingtimes
Proven ability to manage complex issues with organization anddetail
Must possess excellent interpersonal and project management skills, as well as the ability to interact and communicate effectively with Senior Leadership
