On a typical day you’ll

Structure, draft, negotiate and review all types and aspects of commercial agreements, including EULAs, Licensing Agreements, DPAs, Supplier Agreements, NDAs and others.
Advise on and ensure compliance with data protection regulations, including GDPR and Data Protection Agreements.
Create and maintain standard templates, business processes and internal policies to help scale the business.
Conduct legal research and analysis to support various business initiatives.
Provide legal advice and work closely with all our marketing, business development and sales divisions.

About you

3-4 years of experience in the commercial department of a leading law firm or a SaaS based hi-tech company.
Strong understanding of commercial transactions, including licensing, distribution, and non-disclosure agreements – MUST .
In-depth knowledge of data protection regulations, particularly GDPR – MUST .
Business-oriented mindset with a focus on achieving commercial objectives.
Ability to work independently and prioritize competing tasks in a fast-paced environment.
Strong writing skills, analytical approach, attention to details, and organizational abilities.
LLB degree or foreign equivalent and license to practice law in Israel.
English – Full Professional Proficiency – MUST.

Key skills and requirements:

Bachelor's degree in Computer Science / Software Engineering;
At least 5 years of experience in developing in C#.
Hands-on experience with C# Windows Services using .NET Framework

Ability to take ownership, propose features and implement them.
Ability and willingness to work with several programming languages at once
Fluent in English.

Strong operational and organizational skills with experience building and managing processes.
Strong research and analytical skills.
Fluency in English is a must.

The Legal Counsel reports directly to the Head of Legal - Commercial and serves as in-house attorney handling the company’s legal needs. The primary responsibilities of this position will be to assist in the management of the company’s day to day legal and regulatory compliance.

Requirements

6+ years of commercial law experience as in-house legal counsel in a technology company or an associate in a high tech department of a top tier law firm.
Experience working in a large, global organization.
Native, mother-tongue English.
Excellent writing, drafting, negotiating, presentation, and communication skills.
Experience in the areas of commercial law, contracts and payments.
Strong contract drafting skills, with deep legal and commercial understanding and analytical capabilities;
Strong interpersonal and communication skills, with the ability to establish relationships across the organization.
Ability to negotiate with external third parties on behalf of internal stakeholders to close transactions efficiently.
Strong project management skills, including the ability to manage time well, prioritize effectively and handle multiple deadlines.

Description

The role:

Assist with structuring and executing M&A transactions, including conducting due diligence, drafting and reviewing transaction documents, and supporting post-closing activities.
Draft and maintain corporate governance documents, including board and shareholders resolutions, consents, meeting minutes, and related materials.
Handle all ESOP related matters, including drafting and reviewing plan documents, managing grants and exercises, ensuring compliance with applicable laws and regulations, and providing guidance to HR and management on ESOP administration and employee communications.
Manage all aspects of intercompany agreements, including drafting and reviewing agreements between group entities, ensuring alignment with corporate structure and business objectives, and maintaining proper documentation and compliance with applicable requirements.
Support corporate secretarial tasks for global subsidiaries, including coordination with local counsels.
Ensure compliance with corporate policies, procedures, and relevant laws and regulations.
Collaborate with cross-functional teams, including finance, HR, compliance and operations, on a range of legal matters.
Provide general legal support on various commercial and contractual matters as needed, including NDAs, service provider agreements, vendor agreements, and ensure that all commercial agreements adequately protect the company’s interests.

Requirements

2-3 years (excluding internship) of relevant legal experience as a lawyer in the commercial/high-tech department of a top-tier law firm or an in-house lawyer in a legal department of a high-tech company.
Hands-on experience with M&A transactions, corporate governance, and corporate secretarial work.
Experience working for or with global companies is a must.
Ability to manage several simultaneous projects under deadline pressure.
Excellent legal, business judgment and strategic thinking, team-player with outstanding attention to detail and organizational skills.
Exceptionally strong communication and interpersonal skills across all channels.
Efficient and creative problem-solver, comfortable with ambiguity, complexity, and nuance.
Able to take ownership of fast-paced projects with rapidly shifting priorities, managing them through to completion with patience, flexibility, and poise.
Ability to speak and write English fluently (part of the interview will be conducted in English).
